1. Name and Registered Office

1.1 The name of the cooperative shall be {{cooperative_name}} (hereinafter referred to as 'the Cooperative').

1.2 The registered office of the Cooperative shall be located at {{registered_office_address}} or such other place as the Management Committee may from time to time determine and notify to the relevant authorities.

2. Objects and Aims

2.1 The primary objects of the Cooperative are:

a) To promote the economic and social welfare of its members through {{primary_object_1}}.

b) To engage in {{activity_1}} and {{activity_2}} to achieve its objectives.

c) To provide {{service_1}} and {{service_2}} to its members at fair and reasonable terms.

2.2 The Cooperative shall operate on the principles of self-help, self-responsibility, democracy, equality, equity, and solidarity.

3. Membership

3.1 Membership of the Cooperative shall be open to all persons who: (a) have attained the age of eighteen (18) years; (b) agree to abide by the Cooperative’s constitution and bylaws; (c) meet the criteria for membership as determined by the Management Committee.

3.2 Each member shall hold at least {{minimum_shares}} shares in the Cooperative.

3.3 Application for membership shall be made in writing to the Management Committee and shall be accompanied by the prescribed membership fee of {{membership_fee_amount}}.

4. Share Capital

4.1 The share capital of the Cooperative shall consist of an unlimited number of shares of {{share_value}} each.

4.2 Shares shall be transferable only with the approval of the Management Committee and in accordance with the Cooperative's bylaws.

4.3 No member shall hold more than {{maximum_shares_percentage}} of the total share capital of the Cooperative.

5. General Meetings

5.1 The Annual General Meeting (AGM) of the Cooperative shall be held within {{agm_period}} after the end of each financial year.

5.2 Special General Meetings (SGMs) may be convened by the Management Committee or upon a written requisition signed by not less than {{smm_members_percentage}} of the total number of members.

5.3 Notice of every general meeting shall be given to members at least {{notice_period}} days before the date of the meeting.

6. Management Committee

6.1 The affairs of the Cooperative shall be managed by a Management Committee consisting of {{number_of_committee_members}} members elected annually at the AGM.

6.2 The Management Committee shall elect from among its members a Chairperson, Secretary, and Treasurer.

6.3 The Management Committee shall meet at least once every {{meeting_frequency}}.

7. Financial Provisions

7.1 The financial year of the Cooperative shall commence on {{financial_year_start_date}} and end on {{financial_year_end_date}}.

7.2 The Cooperative shall keep proper books of accounts and all transactions shall be recorded in accordance with generally accepted accounting principles.

7.3 A registered auditor shall audit the accounts of the Cooperative annually.

8. Distribution of Surplus

8.1 The net surplus arising from the operations of the Cooperative shall be distributed as follows:

a) Not less than {{reserve_fund_percentage}} shall be transferred to the statutory reserve fund.

b) A portion may be distributed as dividends to members, not exceeding {{maximum_dividend_percentage}} per annum on paid-up share capital.

c) The remainder may be allocated to a general fund, educational fund, or other purposes as approved by the General Meeting.

9. Amendment of the Constitution

9.1 This Constitution may be amended by a resolution passed by not less than a two-thirds majority of members present and voting at a General Meeting, provided that due notice of the proposed amendment has been given.

10. Dissolution

10.1 The Cooperative may be dissolved by a resolution passed by not less than a three-fourths majority of members present and voting at a Special General Meeting convened for that purpose.

10.2 Upon dissolution, the assets of the Cooperative, after satisfying all liabilities, shall be disposed of in accordance with the applicable cooperative laws and regulations of the jurisdiction.
