Minimum Advertised Price Policy

This Minimum Advertised Price ('MAP') Policy is adopted by {{company_name}} ('the Company') to protect its brand image, reputation, and the investment of its authorized resellers. This policy ensures that {{company_name}} products are advertised at prices that reflect their true value and prevents price erosion that can undermine reseller profitability and ultimately harm the Company's brand.
Products Covered
This MAP Policy applies to all {{company_name}} branded products ('MAP Products') as specified in the attached Schedule A, which may be updated by the Company from time to time. Resellers will be notified of any changes to Schedule A at least {{notice_days}} days prior to their effective date.
Minimum Advertised Price
The MAP for each MAP Product is listed in Schedule A. Resellers are not permitted to advertise any MAP Product at a price lower than the established MAP. This policy applies to all forms of advertising, including, but not limited to, print advertisements, online banners, email newsletters, public displays, and all internet or e-commerce platforms.
Advertising Exclusions
This MAP Policy does not apply to the actual price at which MAP Products are sold. Resellers are free to sell MAP Products at any price they choose, provided that such price is not advertised below the MAP. This policy also does not apply to: (a) 'in-store' advertising that is not distributed to customers; (b) advertisements that only state that a lower price may be found 'in-store' or by calling; (c) bids in response to customer-initiated requests for quotes; and (d) negotiated prices to individual customers.
Violations of Policy
In the event of a violation of this MAP Policy, the Company reserves the right to take appropriate action, including, but not limited to, the following:
1. First Offense: A written warning and a request to cease the non-compliant advertising immediately. The reseller will have {{cure_period_days}} days to comply.
2. Second Offense: Suspension of shipments of all MAP Products to the reseller for a period of {{suspension_days}} days.
3. Third Offense: Termination of the reseller's authorization to sell {{company_name}} products.
The Company will be the sole arbiter of whether a violation has occurred.
Policy Modifications
{{company_name}} reserves the right to modify or discontinue this MAP Policy at any time. All modifications will be communicated to resellers in writing and will become effective on the date specified in the notice.
