MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding (hereinafter referred to as "MOU") is made and entered into on this {{day}} day of {{month}}, {{year}}.

BETWEEN:

AND

1. PURPOSE OF THE MOU

2. OBJECTIVES

5. DURATION AND TERMINATION

5.1. This MOU shall become effective on the date of signing by both Parties and shall remain in effect for a period of {{duration_in_months}} months, unless terminated earlier in accordance with the provisions herein.

7. CONFIDENTIALITY

The Parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of this collaboration and shall not disclose such information to any third party without the prior written consent of the disclosing Party.

8. GOVERNING LAW AND DISPUTE RESOLUTION

This MOU shall be governed by and construed in accordance with the laws of {{country}}.

Any dispute, controversy or claim arising out of or relating to this MOU, or the breach, termination or invalidity thereof, shall be resolved through amicable negotiations between the Parties. If the Parties are unable to reach an amicable settlement, the dispute shall be referred to mediation in accordance with the rules of {{mediation_body}}.

9. AMENDMENT

Any amendment or modification to this MOU must be made in writing and signed by duly authorized representatives of both Parties.

10. ENTIRE UNDERSTANDING

This MOU constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written, between the Parties.
