NON-PROFIT OPERATING AGREEMENT
This Non-Profit Operating Agreement (the “Agreement”) is made and entered into effective as of {{effective_date}} (the “Effective Date”), by and among the undersigned members of {{company_name}}, a non-profit organization legally registered in {{country}}.
1. Purpose and Mission
1.1. The primary purpose of {{company_name}} (hereinafter referred to as the “Organization”) is to {{state_mission_statement}}.
1.2. The Organization shall operate exclusively for charitable, educational, religious, or scientific purposes within the meaning of applicable tax codes in {{country}}.
2. Membership
2.1. Membership in the Organization shall be open to individuals or entities who {{membership_criteria}}.
2.2. Membership categories, if any, shall be {{membership_categories}}.
2.3. The rights and responsibilities of members include {{member_rights_responsibilities}}.
2.4. Membership fees, if applicable, shall be {{membership_fees}}.
3. Governance and Management
3.1. The Organization shall be governed by a Board of Directors/Trustees (hereinafter referred to as the “Board”). The initial number of Board members shall be {{number_of_board_members}}.

4. Financial Management

4.2. All funds of the Organization shall be deposited in such bank accounts as the Board may designate. Signatories for financial transactions shall be {{bank_signatories}}.

4.4. Financial records shall be maintained in accordance with generally accepted accounting principles (GAAP) in {{country}}.
5. Amendments to Agreement

5.2. Proposed amendments must be submitted in writing to the Board and circulated to all members at least {{notice_period}} days prior to a meeting at which the amendment will be considered.
6. Dissolution
6.1. In the event of the dissolution of the Organization, its assets shall be distributed for one or more exempt purposes within the meaning of applicable tax codes in {{country}}, or shall be distributed to the federal government, or to a state or local government, for a public purpose.
6.2. Any such assets not so disposed of shall be disposed of by a Court of Competent Jurisdiction of the county in which the principal office of the Organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
