Subject: Agreement to Compromise Disputed Account

This Agreement to Compromise Disputed Account ('Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between {{company_name}} (hereinafter referred to as 'Creditor'), located at {{company_address}}, and {{debtor_name}} (hereinafter referred to as 'Debtor'), located at {{debtor_address}}.

Background

WHEREAS, the Creditor asserts that the Debtor owes a debt in the amount of {{original_debt_amount}} (hereinafter referred to as 'Original Debt') stemming from {{description_of_original_debt}}.

WHEREAS, the Debtor disputes the validity or amount of the Original Debt, or a portion thereof, as detailed in {{debtor_dispute_details}}.

WHEREAS, both parties desire to resolve this dispute and compromise the Original Debt to avoid further litigation and expense.

Terms of Compromise and Settlement

1. In full and final settlement of the Original Debt, the Creditor agrees to accept and the Debtor agrees to pay the sum of {{settlement_amount}} (hereinafter referred to as 'Settlement Amount').

2. The Debtor shall pay the Settlement Amount to the Creditor on or before {{payment_due_date}}.

This Agreement is for the purpose of compromising and settling a disputed claim and does not constitute an admission of liability by the Debtor or any other party concerning the Original Debt. Both parties continually deny any liability or wrongdoing on their part concerning the Original Debt.

Confidentiality

The terms and conditions of this Agreement shall remain confidential between the parties and shall not be disclosed to any third party, except as required by law or to legal or financial advisors.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
