Preamble

WHEREAS, the undersigned has been employed by {{payer_name}} (the “Payer”) to furnish labor, materials, or services for the improvement of the real property located at {{project_location}} (the “Property”), more specifically described as {{project_description}}.

Waiver of Lien

NOW, THEREFORE, for and in consideration of the payment of {{amount}} USD ($), the receipt and sufficiency of which is hereby acknowledged, the undersigned does hereby waive and release any and all liens, claims, or rights to a lien upon the Property and the improvements thereon, and upon the money or other consideration due or to become due for the labor, services, equipment, or materials furnished to the Property through the date of this waiver. This waiver applies to all claims, demands, and causes of action of every kind whatsoever that the undersigned may have had, now has, or may hereafter have, arising out of the furnishing of labor, services, equipment, or materials to the Property.

Conditional vs. Unconditional Waiver

This waiver is a *{{waiver_type}}* waiver. If a conditional waiver, this waiver is conditioned upon successful receipt and clearance of payment in the amount stated above. If an unconditional waiver, the undersigned acknowledges receipt of payment and waives all lien rights regardless of future payment disputes.

Representations and Warranties

The undersigned represents and warrants that it has the authority to execute this waiver and that it has not assigned any liens or claims against the Property to any other party. The undersigned further warrants that all laborers, subcontractors, and suppliers engaged by the undersigned for the Project have been paid in full for all work, materials, and services covered by the payment herein acknowledged.

Indemnification

The undersigned agrees to indemnify and hold harmless the Owner and Contractor from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to any lien, claim, or encumbrance asserted against the Property by any person or entity claiming by, through, or under the undersigned.

Governing Law

This Lien Waiver Form shall be governed by and construed in accordance with the laws of the State of New York.
