Architectural Services Agreement

This Architectural Services Agreement ('Agreement') is made and entered into on this {{date}} by and between:

{{client_name}}, with its principal place of business at {{client_address}} (hereinafter referred to as the 'Client'),

AND

{{architect_firm_name}}, a company duly registered under the laws of {{country}}, with its principal place of business at {{architect_firm_address}} (hereinafter referred to as the 'Architect').

Collectively referred to as 'Parties' and individually as 'Party'.

1. Scope of Services

1.1 The Architect shall provide architectural services for the project located at {{project_address}} (hereinafter referred to as the 'Project'), as detailed in Appendix A: Scope of Work.

1.2 Services shall include, but not be limited to: {{pre_design_services}}, {{schematic_design}}, {{design_development}}, {{construction_documents}}, {{procurement_assistance}} and {{construction_administration}}.

2. Fees and Payment

2.1 The Client shall pay the Architect a total fee of {{total_fee}} for the services rendered. A detailed breakdown of the fee structure is provided in Appendix B: Fee Schedule.

2.2 Payment shall be made as follows:

- An initial deposit of {{deposit_amount}} upon signing this Agreement.

- Stage payments as per the milestones outlined in Appendix B.

- All invoices are due within {{payment_due_days}} days of receipt.

3. Client's Responsibilities

3.1 The Client shall provide all necessary information, decisions, and approvals in a timely manner to facilitate the Architect’s performance of services.

3.2 The Client shall secure and pay for all necessary surveys, geotechnical investigations, and legal services as required for the Project.

4. Term and Termination

4.1 This Agreement shall commence on {{start_date}} and shall remain in effect until the completion of the Project, unless terminated earlier in accordance with the provisions herein.

4.2 Either Party may terminate this Agreement upon {{notice_days}} days' written notice if the other Party substantially fails to perform its obligations hereunder.

5. Intellectual Property

5.1 All drawings, specifications, and other documents prepared by the Architect are instruments of service and shall remain the property of the Architect.

5.2 The Client shall be permitted to retain copies of such instruments for the purpose of constructing and maintaining the Project, but shall not use them for other projects without the Architect's prior written consent.

6. Dispute Resolution

6.1 Any dispute arising out of or in connection with this Agreement shall first be referred to mediation in accordance with the rules of the {{mediation_body}}.

6.2 If mediation fails, the dispute shall be submitted to arbitration in accordance with the rules of the {{arbitration_body}}.

7. Governing Law

7.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}.

8. Entire Agreement

8.1 This Agreement, including its appendices, constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
