Architectural Services Agreement
This Architectural Services Agreement (“Agreement”) is made and entered into effective as of {{date_of_agreement}} (the “Effective Date”), by and between:
**{{client_name}}** (hereinafter referred to as the “Client”), with a primary place of business at {{client_address}}.
AND
**{{architect_firm_name}}** (hereinafter referred to as the “Architect”), with a primary place of business at {{architect_firm_address}}.
Collectively referred to as the “Parties.”
1. Project Description
The Client hereby engages the Architect to provide architectural services for the project described as follows:

2. Scope of Services
The Architect shall provide the following services, as further detailed in **Appendix A - Scope of Services** attached hereto and incorporated by reference:
2.1. **Schematic Design Phase:** {{schematic_design_description}}
2.2. **Design Development Phase:** {{design_development_description}}
2.3. **Construction Documents Phase:** {{construction_documents_description}}
2.4. **Contract Administration Phase:** {{contract_administration_description}}
2.5. **Optional Additional Services:** Services outside the scope defined above, if requested by the Client, shall be subject to a separate written agreement and additional fees. Such services may include, but are not limited to, {{optional_services_examples}}.
3. Fees and Payment
3.1. **Fee Structure:** The Client agrees to pay the Architect a total fee of {{total_fee_amount}} ({{total_fee_words}}) for the services outlined in Section 2. The fee shall be structured as follows:
- {{percentage_schematic_design}}% upon completion of Schematic Design Phase.
- {{percentage_design_development}}% upon completion of Design Development Phase.
- {{percentage_construction_documents}}% upon completion of Construction Documents Phase.
- {{percentage_contract_administration}}% payable monthly during the Contract Administration Phase, based on progress.
3.2. **Payment Schedule:** Invoices will be submitted by the Architect on a monthly basis and are due within {{payment_due_days}} days of the invoice date.
3.3. **Expenses:** The Client shall reimburse the Architect for reasonable and necessary out-of-pocket expenses incurred in connection with the Project, including but not limited to, {{expenses_examples}}.
3.4. **Late Payments:** A late payment penalty of {{late_payment_percentage}}% per month will be applied to overdue invoices.
4. Project Schedule
The Architect shall endeavor to complete the services within the following estimated schedule:
4.1. **Schematic Design Phase:** {{schematic_design_duration}} weeks from the Effective Date.
4.2. **Design Development Phase:** {{design_development_duration}} weeks following Schematic Design approval.
4.3. **Construction Documents Phase:** {{construction_documents_duration}} weeks following Design Development approval.
4.4. **Contract Administration Phase:** Commencing upon award of construction contract and continuing through project completion, estimated at {{contract_administration_duration}} weeks.
5. Client Responsibilities
The Client agrees to:
5.1. Provide all necessary information, including accurate surveys, legal descriptions, and existing plans, in a timely manner.
5.2. Make timely decisions and approvals to avoid project delays.
5.3. Appoint a primary representative for all communications with the Architect.
5.4. Secure and pay for all necessary governmental approvals, permits, and fees, unless otherwise agreed in writing.
6. Ownership of Documents
All drawings, specifications, and other documents prepared by the Architect are instruments of service and shall remain the property of the Architect. The Client shall be permitted to retain copies for information and use in connection with the Project; however, they are not to be used on other projects without the written consent of the Architect.
7. Termination of Agreement
7.1. **Termination by Client:** The Client may terminate this Agreement upon {{client_termination_notice_days}} days' written notice to the Architect. In such event, the Architect shall be compensated for services rendered up to the termination date, plus any reimbursable expenses.
7.2. **Termination by Architect:** The Architect may terminate this Agreement upon {{architect_termination_notice_days}} days' written notice to the Client if the Client fails to comply with the terms of this Agreement, including non-payment of fees.
7.3. **Mutual Agreement:** This Agreement may be terminated at any time by mutual written agreement of both Parties.
8. Dispute Resolution
Any dispute or claim arising out of or relating to this Agreement, or the breach thereof, shall be resolved through good faith negotiations between the Parties. If the dispute cannot be resolved through negotiation, the Parties agree to first try to resolve the dispute through mediation facilitated by {{mediator_organization}} in {{mediation_location}}.
If mediation is unsuccessful, any unresolved dispute shall be settled by arbitration in accordance with the rules of {{arbitration_organization}} in {{arbitration_location}}.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.
10. Entire Agreement
This Agreement, including all attached appendices, constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
