Parties

This Assignment of Intellectual Property Rights ("Assignment") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

**Assignor:** {{assignor_company_name}}, a company duly incorporated and registered under the laws of {{assignor_jurisdiction}}, with its principal place of business at {{assignor_address}} (hereinafter referred to as "Assignor").

**Assignee:** {{assignee_company_name}}, a company duly incorporated and registered under the laws of {{assignee_jurisdiction}}, with its principal place of business at {{assignee_address}} (hereinafter referred to as "Assignee").

Recitals

WHEREAS, the Assignor is the sole and exclusive owner of certain intellectual property rights as more fully described in Schedule A attached hereto (the "Intellectual Property"); and

WHEREAS, the Assignor desires to assign, and the Assignee desires to acquire, all right, title, and interest in and to the Intellectual Property, subject to the terms and conditions set forth herein.

Assignment of Intellectual Property

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Assignor hereby irrevocably assigns, transfers, and conveys to the Assignee, its successors and assigns, all right, title, and interest in and to the Intellectual Property, including but not limited to, all copyrights, patents, trademarks, trade secrets, industrial designs, database rights, moral rights, and all other intellectual property rights worldwide, whether registered or unregistered, now known or hereafter existing, relating to the Intellectual Property, effective as of the Effective Date (as defined below).

Consideration

In consideration for the assignment of the Intellectual Property, the Assignee shall pay to the Assignor the sum of {{amount_in_words}} ({{amount}}) on or before {{payment_due_date}}. The Assignee may also agree to other forms of consideration as outlined in a separate agreement between the parties.

Representations and Warranties of Assignor

The Assignor represents and warrants to the Assignee that:

a) The Assignor is the sole and exclusive owner of all right, title, and interest in and to the Intellectual Property and has the full power and authority to enter into this Assignment and to assign the Intellectual Property to the Assignee.

b) The Intellectual Property is free and clear of all liens, encumbrances, and claims of any kind, and no third party has any rights, claims, or interests in the Intellectual Property that would conflict with the assignment contemplated herein.

c) To the best of the Assignor's knowledge, the Intellectual Property does not infringe upon or misappropriate the intellectual property rights of any third party.

d) The Assignor has not granted any licenses or other rights to the Intellectual Property that would materially interfere with the rights granted to the Assignee hereunder.

e) All registrations and applications for the Intellectual Property are valid, subsisting, and in full force and effect, and all necessary maintenance fees and renewal fees have been paid up to the Effective Date.

Indemnification

The Assignor agrees to indemnify, defend, and hold harmless the Assignee from and against any and all losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of the Assignor's representations and warranties contained in this Assignment.

Further Assurances

The Assignor agrees to execute and deliver any and all further documents, instruments, and assurances, and to perform any and all acts that the Assignee may reasonably require to perfect, confirm, or defend the Assignee's ownership of the Intellectual Property.

Governing Law and Jurisdiction

This Assignment shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}. Any dispute arising out of or in connection with this Assignment shall be subject to the exclusive jurisdiction of the courts of {{arbitration_jurisdiction}}.

Entire Agreement

This Assignment constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the parties.
