ASSIGNMENT OF COPYRIGHT
This Assignment of Copyright (hereinafter referred to as the "Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

2. RECITAL
The Assignor is the sole and exclusive owner of the copyright in the work described in Schedule A hereto (hereinafter referred to as the "Work").
The Assignor desires to assign all rights, title, and interest in and to the copyright in the Work to the Assignee, and the Assignee desires to acquire such rights, title, and interest from the Assignor.
3. ASSIGNMENT
For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Assignor hereby assigns, transfers, and conveys to the Assignee, its successors and assigns, all of its rights, title, and interest in and to the copyright in the Work, including, but not limited to, all rights of reproduction, distribution, public performance, public display, and the right to prepare derivative works, throughout the world, for the full term of copyright, including any renewals or extensions thereof.
4. WARRANTIES AND REPRESENTATIONS OF THE ASSIGNOR
The Assignor hereby warrants and represents to the Assignee that:
a. The Assignor is the sole owner of all rights, title, and interest in and to the copyright in the Work and has the full power and authority to enter into this Agreement and to transfer the rights granted herein.
b. The Work is original and does not infringe upon the copyright or other proprietary rights of any third party.
c. The Assignor has not previously assigned, licensed, or otherwise encumbered the copyright in the Work in any manner inconsistent with this Agreement.
5. INDEMNIFICATION
The Assignor agrees to indemnify, defend, and hold harmless the Assignee, its officers, directors, employees, and agents, from and against any and all claims, demands, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or in connection with any breach of the Assignor's warranties or representations contained in this Agreement or any claim that the Work infringes upon the copyright or other proprietary rights of any third party.
6. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa.
7. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
