ASSIGNMENT OF CONTRIBUTOR RIGHTS

This Assignment of Contributor Rights (the "Agreement") is made and entered into as of {{effective_date}} (the "Effective Date"), by and between:

**{{company_name}}**, a company duly incorporated under the laws of {{country}}, with its registered office at {{company_address}} (hereinafter referred to as "the Company"); and

**{{contributor_name}}**, an individual residing at {{contributor_address}}, or a company duly incorporated under the laws of {{country}}, with its registered office at {{contributor_address}} (hereinafter referred to as "the Contributor").

RECITALS

WHEREAS, the Contributor has been engaged by the Company as a {{contributor_role}} to perform certain services relating to {{project_description}} (the "Project"); and

WHEREAS, in the course of performing such services, the Contributor has created, or may create, certain intellectual property, including but not limited to inventions, works of authorship, designs, and know-how (hereinafter collectively referred to as the "Contributions"); and

WHEREAS, the Company desires to acquire all right, title, and interest in and to the Contributions, and the Contributor desires to assign such rights to the Company.

ASSIGNMENT OF RIGHTS

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Contributor irrevocably assigns, transfers, and conveys to the Company, its successors and assigns, all worldwide right, title, and interest in and to the Contributions, including all intellectual property rights therein, including without limitation, copyrights, patents, trade secrets, trademarks, and all other proprietary rights, whether now known or hereafter existing. This assignment includes the right to sue for past, present, and future infringements.

FURTHER ASSURANCES

The Contributor agrees to execute and deliver any and all further documents, including applications for intellectual property protection, assignments, and other instruments, and to take all such further actions as the Company may reasonably request, both during and after the term of the Contributor's engagement with the Company, to perfect, evidence, confirm, or record the Company's ownership of the Contributions and all intellectual property rights therein. The Contributor hereby appoints the Company as its attorney-in-fact to execute such documents on its behalf if the Contributor is unable or unwilling to do so.

REPRESENTATIONS AND WARRANTIES

The Contributor represents and warrants that:

a) The Contributor is the sole owner of all rights, title, and interest in and to the Contributions as of the Effective Date, and has the full power and authority to enter into this Agreement and make the assignment contemplated herein.

b) The Contributions do not infringe upon the intellectual property rights or any other rights of any third party.

c) The Contributor has not previously assigned, licensed, or otherwise encumbered any rights in the Contributions to any third party.

CONFIDENTIALITY

The Contributor acknowledges that the Contributions and any information related to the Project may be confidential and proprietary to the Company. The Contributor agrees to maintain the confidentiality of all such information and not to disclose it to any third party without the prior written consent of the Company, both during and after the term of the Contributor's engagement.

GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of **{{country}}**. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the courts of **{{country}}**.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the same. No modification or amendment of this Agreement shall be effective unless in writing and signed by both parties.
