ASSIGNMENT OF CONTRIBUTOR RIGHTS

This Assignment of Contributor Rights ("Agreement") is made and entered into effective as of {{effective_date}} (the "Effective Date"), by and between:

{{company_name}}, a company duly incorporated and existing under the laws of {{jurisdiction}}, with its principal place of business at {{company_address}} (hereinafter referred to as "the Company" or "Assignee"), and

{{contributor_name}}, an individual residing at {{contributor_address}} / a company duly incorporated and existing under the laws of {{contributor_jurisdiction}}, with its principal place of business at {{contributor_address}} (hereinafter referred to as "the Contributor" or "Assignor").

RECITALS

WHEREAS, the Contributor has created certain intellectual property, including but not limited to {{description_of_work}} (the "Work"), in connection with the Contributor's engagement with the Company;

WHEREAS, the Contributor desires to assign all rights, title, and interest in and to the Work to the Company, and the Company desires to accept such assignment.

ASSIGNMENT OF RIGHTS

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Contributor hereby irrevocably assigns, transfers, and conveys to the Company, its successors and assigns, all worldwide right, title, and interest in and to the Work, including, without limitation, all copyrights, patent rights, trade secret rights, trademark rights, and all other intellectual property and proprietary rights of any kind or nature whatsoever, now known or hereafter existing, and all applications and registrations relating thereto, throughout the universe, for the full term of such rights, including all renewals and extensions, together with the right to sue for past infringement.

CONTRIBUTOR'S REPRESENTATIONS AND WARRANTIES

The Contributor represents and warrants that:

a. The Contributor is the sole owner of all rights, title, and interest in and to the Work and has the full right, power, and authority to enter into this Agreement and to make the assignment contemplated herein.

b. The Work is original and does not infringe upon or violate any copyright, patent, trade secret, trademark, or other proprietary right of any third party.

c. The Contributor has not previously assigned, transferred, or encumbered any rights in the Work to any third party.

d. The Contributor has obtained all necessary permissions, consents, and licenses from any third parties whose materials may be incorporated into the Work.

COMPANY'S RIGHTS AND OBLIGATIONS

The Company shall have the sole and exclusive right to use, reproduce, distribute, display, perform, adapt, modify, create derivative works of, and otherwise exploit the Work in any manner and in any medium now known or hereafter developed, without any further obligation or consideration to the Contributor.

The Company may register and prosecute applications for copyrights, patents, and other intellectual property rights in its own name pertaining to the Work.

INDEMNIFICATION

The Contributor agrees to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of the Contributor's representations and warranties contained in this Agreement or any claim that the Work infringes upon or violates the intellectual property rights or other proprietary rights of any third party.

FURTHER ASSURANCES

The Contributor agrees to execute and deliver any and all further documents, including applications for copyright and patent registration, and to do all such acts as may be necessary or desirable to perfect or confirm the assignment of rights to the Company as provided herein.

GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{governing_law_jurisdiction}}.

ENTIRE AGREEMENT

This Agreement constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, inducements, and conditions, express or implied, oral or written, of any kind pertaining to the subject matter of this Agreement.
