1. Definitions

In this Agreement, the following terms shall have the meanings ascribed to them below:

1.1. "Cloud Services" refers to the specific cloud-based services provided by {{provider_company_name}} to {{client_company_name}} as detailed in Schedule A.

1.2. "Service Level Agreement (SLA)" refers to the document attached as Schedule B, which outlines the performance metrics, uptime guarantees, and support terms for the Cloud Services.

1.3. "Data" refers to all electronic data, information, or material submitted by {{client_company_name}} to the Cloud Services.

1.4. "Confidential Information" refers to any information, whether written or oral, designated as confidential or which by its nature ought reasonably to be understood as confidential.

2. Provision of Cloud Services

2.1. {{provider_company_name}} agrees to provide the Cloud Services to {{client_company_name}} in accordance with the terms and conditions of this Agreement and the attached SLA.

2.2. The specific Cloud Services to be provided are described in detail in Schedule A.

2.3. {{provider_company_name}} reserves the right to modify or update the Cloud Services from time to time, provided that such modifications do not materially degrade the functionality or performance of the services.

3. Service Level Agreement (SLA)

3.1. The parties agree to adhere to the terms and conditions set forth in the SLA, which is incorporated by reference into this Agreement.

3.2. Any breaches of the SLA by {{provider_company_name}} shall be remedied as specified in the SLA, including, but not limited to, service credits or other compensation.

4. Data Protection and Security

4.1. {{provider_company_name}} shall implement and maintain appropriate technical and organisational measures to protect Data against unauthorised or unlawful processing and against accidental loss, destruction, damage, alteration, or disclosure.

4.2. {{provider_company_name}} will process Data only in accordance with {{client_company_name}}'s instructions and applicable data protection laws.

4.3. {{client_company_name}} shall be responsible for ensuring the legality, reliability, integrity, accuracy, and quality of its Data and for obtaining all necessary consents and permissions for the processing of such Data by {{provider_company_name}}.

5. Fees and Payment

5.1. {{client_company_name}} agrees to pay {{provider_company_name}} the fees for the Cloud Services as specified in Schedule C.

5.2. Invoices will be issued {{billing_frequency}} and are due within {{payment_due_days}} days of the invoice date.

5.3. All fees are exclusive of value-added tax (VAT) which, if applicable, shall be added at the prevailing rate.

6. Term and Termination

6.1. This Agreement shall commence on the Agreement Date and shall continue for an initial term of {{initial_term_months}} months, unless terminated earlier in accordance with its terms.

6.2. Either party may terminate this Agreement by providing {{notice_period_days}} days' written notice to the other party.

6.3. Either party may terminate this Agreement immediately upon written notice if the other party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period_days}} days of receiving written notice thereof.

7. Confidentiality

7.1. Each party agrees to maintain the confidentiality of the other party's Confidential Information and not to disclose it to any third party without the prior written consent of the disclosing party.

7.2. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period_years}} years.

8. Limitation of Liability

8.1. To the maximum extent permitted by law, {{provider_company_name}}'s total liability to {{client_company_name}} for any and all claims arising out of or in connection with this Agreement shall not exceed {{liability_cap_amount}}.

8.2. Neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, or business opportunities.

9. Governing Law and Dispute Resolution

9.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

9.2. Any dispute, controversy, or claim arising out of or in connection with this Agreement, including its existence, validity, or termination, shall be resolved through good faith negotiations between the parties.

9.3. If the parties are unable to resolve the dispute amicably, it shall be referred to arbitration in {{arbitration_city}}, in accordance with the rules of {{arbitration_institution}}.

10. Entire Agreement

10.1. This Agreement, together with its Schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral.

11. Signatures

IN WITNESS WHEREOF, the parties hereto have executed this Cloud Service Agreement as of the Agreement Date.
