DEED GRANTING EASEMENT

This Deed of Easement is made and entered into on this {{day}} day of {{month}}, {{year}} (the “Effective Date”),

BETWEEN:

{{grantor_company_name}} (Registration Number: {{grantor_registration_number}}), a company duly registered and incorporated in accordance with the laws of {{country}}, with its principal place of business at {{grantor_address}} (hereinafter referred to as the “Grantor”);

AND

{{grantee_company_name}} (Registration Number: {{grantee_registration_number}}), a company duly registered and incorporated in accordance with the laws of {{country}}, with its principal place of business at {{grantee_address}} (hereinafter referred to as the “Grantee”).

RECITALS

WHEREAS, the Grantor is the registered owner of certain immovable property situated at {{property_address}}, more fully described as [{{property_description}}] (hereinafter referred to as the “Dominant Tenement”);

WHEREAS, the Grantee is the registered owner of certain immovable property situated at {{adjoining_property_address}}, more fully described as [{{adjoining_property_description}}] (hereinafter referred to as the “Servient Tenement”), which adjoins the Dominant Tenement;

WHEREAS, the Grantor desires to grant, and the Grantee desires to accept, an easement over a portion of the Dominant Tenement for the purposes and on the terms and conditions hereinafter set forth.

GRANT OF EASEMENT

The Grantor, for and in consideration of the sum of {{consideration_amount}} ({{consideration_amount_words}}) paid by the Grantee to the Grantor, the receipt and sufficiency of which is hereby acknowledged, does hereby GRANT, CONVEY, and CONFIRM unto the Grantee, its successors and assigns, a perpetual and non-exclusive easement (hereinafter referred to as the “Easement”) over that portion of the Dominant Tenement specifically depicted and described in the attached Annexure A (the “Easement Area”), for the purpose of {{purpose_of_easement}}.

The Easement shall permit the Grantee, its employees, agents, contractors, and invitees, the right to {{specific_rights_granted_by_easement}}.

TERM AND DURATION

This Easement shall be perpetual and shall run with the land, binding the Grantor and its successors-in-title, and inuring to the benefit of the Grantee and its successors-in-title.

OBLIGATIONS OF THE GRANTEE

The Grantee shall, at its own cost and expense, be responsible for the maintenance, repair, and upkeep of the Easement Area, ensuring that its use does not unreasonably interfere with the Grantor's use and enjoyment of the Dominant Tenement.

The Grantee shall indemnify and hold harmless the Grantor from and against any and all claims, demands, causes of action, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with the Grantee's use of the Easement Area.

COVENANTS AND WARRANTIES

The Grantor covenants that it has the full right, power, and authority to grant this Easement and that the Dominant Tenement is free and clear of all encumbrances, except as may be specifically disclosed herein or in the public records.

The Grantor further covenants that it will not do anything to obstruct or interfere with the Grantee's free and uninterrupted use of the Easement Area for the purposes herein stated.

GOVERNING LAW AND JURISDICTION

This Deed of Easement shall be governed by and construed in accordance with the laws of {{country}}. Any dispute arising out of or in connection with this Deed shall be subject to the exclusive jurisdiction of the courts of {{city}}, {{country}}.

GENERAL PROVISIONS

This Deed of Easement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether written or oral.

No modification, amendment, or waiver of any provision of this Deed shall be effective unless in writing and signed by both parties.

If any provision of this Deed is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
