Domain Name Assignment Agreement

This Domain Name Assignment Agreement ("Agreement") is made and entered into as of {{effective_date}} (the "Effective Date"), by and between:

{{assignor_company_name}}, a company duly incorporated under the laws of {{assignor_jurisdiction}}, with its principal place of business at {{assignor_address}} ("Assignor"); and

{{assignee_company_name}}, a company duly incorporated under the laws of {{assignee_jurisdiction}}, with its principal place of business at {{assignee_address}} ("Assignee").

Recitals

WHEREAS, Assignor is the registered owner of the domain name(s) specified in Schedule A attached hereto (the "Domain Name(s)");

WHEREAS, Assignor desires to assign, transfer, convey, and deliver to Assignee all of its rights, title, and interest in and to the Domain Name(s); and

WHEREAS, Assignee desires to acquire all right, title, and interest in and to the Domain Name(s) from Assignor.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Assignment of Domain Name(s)

Assignor hereby assigns, transfers, conveys, and delivers to Assignee, its successors and assigns, all of Assignor's right, title, and interest in and to the Domain Name(s), including all registrations and associated intellectual property rights, effective as of the Effective Date. Assignor further agrees to execute any and all documents and to take any and all actions necessary to fully effectuate this assignment and transfer.

Consideration

In consideration for the assignment of the Domain Name(s), Assignee shall pay to Assignor the sum of {{currency}} {{amount}} (the "Assignment Fee") on or before {{payment_due_date}}. The Assignment Fee shall be paid by {{payment_method}}.

Representations and Warranties of Assignor

Assignor represents and warrants to Assignee that:

a) Assignor is the sole and exclusive owner of all rights, title, and interest in and to the Domain Name(s) and has the full power and authority to assign the Domain Name(s) to Assignee.

b) The Domain Name(s) are free and clear of any liens, encumbrances, or adverse claims.

c) The assignment of the Domain Name(s) to Assignee will not infringe upon the rights of any third party.

d) Assignor has taken all necessary actions to ensure the Domain Name(s) are in good standing with the relevant domain name registrar(s).

Indemnification

Assignor agrees to indemnify, defend, and hold harmless Assignee from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of Assignor's representations and warranties contained in this Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}, without regard to its conflict of laws principles.

Any dispute or claim arising out of or in connection with this Agreement, including its existence, validity, or termination, shall be resolved by {{dispute_resolution_method}} in {{dispute_resolution_location}}.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, both written and oral, between the parties relating to such subject matter.

Amendment

This Agreement may not be amended or modified except in writing, signed by both Assignor and Assignee.
