Domain Name Registration Agreement

This Domain Name Registration Agreement (the "Agreement") is entered into on this {{date}} by and between {{company_name}} (hereinafter "Registrar"), a company duly incorporated under the laws of {{country_name}}, and {{registrant_name}} (hereinafter "Registrant"), with a registered address at {{registrant_address}}.

1. Services Provided

1.1. The Registrar agrees to provide domain name registration services to the Registrant, including the registration, renewal, and management of the domain name(s) specified in Annexe A (hereinafter "Domain Name").

1.2. The Registrar shall act as an accredited registrar for various Top-Level Domains (TLDs) and shall facilitate the registration of the chosen Domain Name(s) with the appropriate registry.

2. Registrant's Obligations

2.1. The Registrant shall provide accurate and complete information during the registration process, including but not limited to, contact details for the administrative, technical, and billing contacts. The Registrant agrees to promptly update this information as necessary.

2.2. The Registrant warrants that the registration and use of the Domain Name will not infringe upon the intellectual property rights of any third party.

2.3. The Registrant agrees to comply with all applicable laws, regulations, and policies, including those of the relevant registry and ICANN (Internet Corporation for Assigned Names and Numbers).

3. Fees and Payment

3.1. The Registrant agrees to pay all applicable fees for the registration, renewal, and any additional services related to the Domain Name as outlined in the Registrar's pricing schedule, available at {{pricing_url}}.

3.2. Payment shall be made in {{currency}} within {{payment_due_days}} days of invoicing. Failure to make timely payments may result in the suspension or cancellation of the Domain Name.

4. Term and Renewal

4.1. The initial term of the Domain Name registration shall be {{initial_term_years}} year(s) from the date of registration.

4.2. The Registrant will be notified of upcoming renewals and given the opportunity to renew the Domain Name. Failure to renew by the expiry date may result in the Domain Name becoming available for registration by others.

5. Dispute Resolution

5.1. Any disputes arising from the registration or use of the Domain Name shall be subject to the Uniform Domain-Name Dispute-Resolution Policy (UDRP) adopted by ICANN, or any other dispute resolution policy mandated by the relevant registry.

5.2. This Agreement shall be governed by and construed in accordance with the laws of {{country_name}}.

6. Limitation of Liability

6.1. The Registrar shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use or inability to use the Domain Name, including but not limited to, loss of data, loss of business, or loss of profits.

6.2. The Registrar's total liability under this Agreement shall not exceed the fees paid by the Registrant for the Domain Name in the twelve (12) months preceding the event giving rise to the claim.

7. Indemnification

7.1. The Registrant agrees to indemnify, defend, and hold harmless the Registrar, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to the Registrant's breach of this Agreement, or the Registrant's use of the Domain Name.

8. Termination

8.1. The Registrar may terminate this Agreement immediately upon written notice to the Registrant if the Registrant breaches any material term of this Agreement.

8.2. Upon termination, the Registrar may, at its sole discretion, delete or transfer the Domain Name and all associated data.

9. Entire Agreement

9.1. This Agreement constitutes the entire agreement between the Registrant and the Registrar and supersedes all prior negotiations, understandings, and agreements, whether written or oral, relating to the subject matter hereof.
