Influencer Marketing Agreement

This Influencer Marketing Agreement ("Agreement") is made and entered into as of {{date}} ("Effective Date"), by and between:

{{company_name}}, a company duly registered under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as "Company").

AND

{{influencer_name}}, with an address at {{influencer_address}}, operating under the social media handles/channels: {{social_media_handles}} (hereinafter referred to as "Influencer").

Company and Influencer are hereinafter collectively referred to as "Parties" and individually as "Party".

1. Services

1.1 The Company hereby engages the Influencer to provide marketing and promotional services (hereafter referred to as "Services") as detailed in Schedule A (Scope of Work).

1.2 The Influencer agrees to perform the Services diligently, in a professional manner, and in accordance with the Company's brand guidelines and all applicable laws and regulations.

2. Term and Termination

2.1 This Agreement shall commence on the Effective Date and shall continue until {{end_date}} unless terminated earlier in accordance with the provisions herein.

2.2 Either Party may terminate this Agreement with {{notice_period}} days' written notice to the other Party.

2.3 Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period}} days of receiving written notice thereof.

3. Compensation

3.1 In consideration for the Services rendered by the Influencer, the Company shall pay the Influencer a total fee of {{compensation_amount}} ({{currency}}) as per the payment schedule outlined in Schedule B (Payment Terms).

3.2 The Influencer shall be responsible for all taxes, duties, and other governmental charges arising from the compensation received under this Agreement.

4. Intellectual Property

4.1 The Influencer hereby grants the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, display, and perform any content created by the Influencer as part of the Services for promotional and marketing purposes.

4.2 The Influencer represents and warrants that all content created for the Services will be original and will not infringe upon the intellectual property rights of any third party.

5. Confidentiality

5.1 Both Parties agree to keep confidential all non-public information received from the other Party during the term of this Agreement and for a period of {{confidentiality_period}} years thereafter.

5.2 This obligation of confidentiality shall not apply to information that is publicly available, independently developed, or required to be disclosed by law.

6. Indemnification

6.1 The Influencer agrees to indemnify and hold harmless the Company from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or in connection with the Influencer's performance of the Services or any breach of this Agreement.

6.2 The Company agrees to indemnify and hold harmless the Influencer from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or in connection with the Company's use of the Services or any breach of this Agreement, except in cases of the Influencer's gross negligence or willful misconduct.

7. Governing Law and Dispute Resolution

7.1 This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

7.2 Any dispute arising out of or in connection with this Agreement shall be submitted to mediation in {{city}}, {{country}}. If mediation is unsuccessful, the dispute shall be resolved through binding arbitration in accordance with the rules of {{arbitration_body}}.

8. Entire Agreement

8.1 This Agreement, including its Schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
