1. ENGAGEMENT AND SCOPE OF SERVICES

1.1 The Client hereby engages the Firm to provide legal services concerning {{matter_description}} (hereinafter referred to as "the Matter").

1.2 The scope of services shall include, but not be limited to: {{scope_of_services_details}}.

1.3 Any services outside this defined scope shall require a separate written agreement or amendment to this Agreement.

2. FEES AND DISBURSEMENTS

2.1 The Firm's fees for the services rendered under this Agreement shall be calculated on a {{billing_method}} basis (e.g., hourly, fixed fee, contingency).

2.2 If hourly, the agreed hourly rate for {{senior_attorney_name}} is {{senior_attorney_hourly_rate}} and for {{junior_attorney_name}} is {{junior_attorney_hourly_rate}}. Time spent will be recorded in {{time_increments}} increments.

2.3 If a fixed fee, the agreed fee for the Matter is {{fixed_fee_amount}}.

2.4 The Client shall be responsible for all disbursements incurred by the Firm on behalf of the Client, including but not limited to, court fees, counsel fees, expert witness fees, travel expenses, and photocopying costs. These will be billed at cost.

2.5 An initial retainer of {{retainer_amount}} is payable by the Client upon signing this Agreement, which shall be held in a trust account and applied against future invoices.

3. INVOICING AND PAYMENT TERMS

3.1 Invoices for fees and disbursements will be issued {{invoicing_frequency}} (e.g., monthly, upon completion of stages).

3.2 Payment of invoices is due within {{payment_due_days}} days from the date of the invoice.

3.3 Interest at the rate of {{interest_rate}}% per annum will be charged on all overdue amounts.

4. CLIENT'S OBLIGATIONS

4.1 The Client shall provide the Firm with all necessary information, documents, and instructions promptly and accurately.

4.2 The Client shall keep the Firm informed of any changes in circumstances relevant to the Matter.

4.3 The Client shall cooperate fully with the Firm in the discharge of its duties.

5. CONFIDENTIALITY

5.1 The Firm undertakes to keep all information provided by the Client confidential and shall not disclose it to any third party without the Client's prior written consent, save as required by law or a court order.

5.2 This obligation of confidentiality shall survive the termination of this Agreement.

6. TERMINATION

6.1 Either Party may terminate this Agreement by giving {{notice_period}} days' written notice to the other Party.

6.2 Upon termination, the Client shall be liable for all fees and disbursements incurred up to the date of termination.

6.3 The Firm reserves the right to retain any documents or property of the Client until all outstanding fees and disbursements are paid.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.

7.2 Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the arbitration rules of {{arbitration_institution}}, which rules are deemed to be incorporated by reference into this clause.

7.3 The seat of arbitration shall be {{arbitration_seat}}.

8. ENTIRE AGREEMENT

8.1 This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, and negotiations, whether written or oral.
