Parties
This Legal Service Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, between:
{{law_firm_name}}, a legal practice duly registered and operating under the laws of {{jurisdiction}}, with its principal place of business at {{law_firm_address}} (hereinafter referred to as "Attorney"); and
{{client_name}}, residing at/with its registered office at {{client_address}} (hereinafter referred to as "Client").
Engagement of Services
The Client hereby engages the Attorney to provide legal services concerning the following matter(s): {{description_of_legal_matter}} (hereinafter referred to as "the Matter").
The scope of services to be provided by the Attorney includes, but is not limited to: {{scope_of_services_details}}. Any services outside this defined scope will require a separate written agreement or amendment to this Agreement.
Attorney's Responsibilities
The Attorney agrees to use all reasonable efforts and apply professional diligence and skill in representing the Client in the Matter.
The Attorney will keep the Client informed of developments in the Matter and consult with the Client regarding important decisions.
Client's Responsibilities
The Client agrees to provide the Attorney with all necessary information and documentation relevant to the Matter in a timely and accurate manner.
The Client agrees to cooperate fully with the Attorney and to be available for consultations and meetings as reasonably required.
The Client acknowledges their responsibility to pay all agreed-upon fees and expenses as outlined in this Agreement.
Fees and Payment Terms
The Attorney's fees for the services rendered will be calculated at an hourly rate of {{hourly_rate}} per hour for {{attorney_name}} and {{junior_hourly_rate}} per hour for junior legal staff/paralegals.
Alternatively, the Attorney's fees will be a fixed fee of {{fixed_fee_amount}} for the completion of the Matter.
A retainer of {{retainer_amount}} is required upon the signing of this Agreement. This retainer will be held in a trust account and will be applied against future invoices.
Invoices will be issued {{billing_frequency}} and are due within {{payment_due_days}} days of the invoice date. Interest at a rate of {{interest_rate}}% per annum will be charged on overdue accounts.
Disbursements and Expenses
The Client is responsible for all disbursements and out-of-pocket expenses incurred by the Attorney on behalf of the Client in connection with the Matter. These may include, but are not limited to, court filing fees, expert witness fees, travel expenses, photocopying, and courier charges.
The Attorney will seek the Client's approval for any significant disbursements prior to incurring them.
Termination of Agreement
This Agreement may be terminated by either party upon {{notice_period}} days' written notice.
Upon termination, the Client shall pay the Attorney for all services rendered and expenses incurred up to the date of termination.
The Attorney reserves the right to withdraw from representation if the client fails to honour the terms of this Agreement, including non-payment of fees, or if continuing representation would violate ethical rules or professional conduct.
Confidentiality
The Attorney undertakes to keep all information provided by the Client strictly confidential, except as required by law or as expressly authorized by the Client.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of {{jurisdiction}}.
Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{jurisdiction}}.
Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
