SHOP TENANCY AGREEMENT

This Shop Tenancy Agreement (hereinafter referred to as the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}},

BETWEEN:

{{landlord_company_name}} of {{landlord_company_address}} (hereinafter referred to as the 'Landlord', which expression shall unless repugnant to the context or meaning thereof include its successors-in-title and assigns) of the ONE PART;

AND

{{tenant_company_name}} of {{tenant_company_address}} (hereinafter referred to as the 'Tenant', which expression shall unless repugnant to the context or meaning thereof include its successors-in-title and assigns) of the OTHER PART.

1. PREMISES

The Landlord hereby agrees to let and the Tenant hereby agrees to take the shop premises located at {{shop_address}} (hereinafter referred to as the 'Premises').

The Premises comprise approximately {{area_in_sqm}} square meters and are described in more detail in Annexure A attached hereto.

2. TERM OF TENANCY

The tenancy shall be for a fixed term of {{term_in_years}} ({{term_in_words}}) years, commencing on {{start_date}} and terminating on {{end_date}}.

Option to Renew: The Tenant shall have the option to renew this Agreement for a further period of {{renewal_period_in_years}} ({{renewal_period_in_words}}) years, provided that written notice of intention to renew is given to the Landlord at least {{notice_period_in_days}} days prior to the expiration of the initial term, and subject to renegotiation of rental and terms.

3. RENT

The monthly rental payable by the Tenant to the Landlord shall be {{currency}} {{monthly_rent_amount}} ({{monthly_rent_amount_in_words}}) exclusive of VAT, if applicable.

The rent shall be payable in advance on the first day of each month without demand, deduction or set-off, into the Landlord's designated bank account: {{bank_name}}, Account Number: {{bank_account_number}}, Branch Code: {{branch_code}}.

Late Payment: A penalty of {{late_payment_penalty_percentage}}% per month shall be levied on any rent not paid by the {{due_day}} day of the month.

4. DEPOSIT

The Tenant shall pay a security deposit of {{currency}} {{security_deposit_amount}} ({{security_deposit_amount_in_words}}) to the Landlord upon signing this Agreement.

The deposit shall be held by the Landlord in an interest-bearing account and shall be refunded to the Tenant within {{deposit_refund_days}} days of the termination of this Agreement, subject to any deductions for damages to the Premises beyond normal wear and tear, unpaid rent, or other breaches of this Agreement.

5. USE OF PREMISES

The Premises shall be used solely for the purpose of operating a {{type_of_business}} business and for no other purpose whatsoever without the prior written consent of the Landlord.

The Tenant shall not carry on or permit to be carried on any illegal, offensive, noisy, noxious or dangerous trade or business on the Premises.

6. MAINTENANCE AND REPAIRS

The Tenant shall be responsible for all interior maintenance and minor repairs to the Premises, including but not limited to, {{tenant_maintenance_responsibilities}}.

The Landlord shall be responsible for all structural repairs and exterior maintenance of the Premises, including but not limited to, {{landlord_maintenance_responsibilities}}.

7. INSURANCE

The Tenant shall at its own expense obtain and maintain adequate public liability insurance with a reputable insurer for an amount not less than {{currency}} {{public_liability_amount}} for any one incident, covering all risks arising from the Tenant's use of the Premises.

The Landlord shall maintain adequate building insurance for the Premises.

8. COMPLIANCE WITH LAWS

The Tenant shall at all times comply with all laws, regulations, and bylaws applicable to the Premises and its use, including but not limited to, {{relevant_laws_and_regulations}}.

9. BREACH AND TERMINATION

In the event of a material breach of any term or condition of this Agreement by either party, the non-breaching party shall issue a written notice specifying the breach and demanding its rectification within {{cure_period_days}} days.

If the breach is not rectified within the stipulated period, the non-breaching party may terminate this Agreement immediately upon written notice, without prejudice to any other rights or remedies it may have by law.

10. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city}}.
