Subcontract Agreement
This Subcontract Agreement ('Agreement') is made and entered into as of {{date}}, by and between:
{{contractor_company_name}}, with its principal place of business at {{contractor_company_address}} ('Contractor'), and
{{subcontractor_company_name}}, with its principal place of business at {{subcontractor_company_address}} ('Subcontractor').
Recitals
WHEREAS, Contractor has entered into a primary agreement ('Primary Agreement') with {{client_name}} ('Client') to perform certain services/works (the 'Project') located at {{project_location}};
WHEREAS, Contractor desires to engage Subcontractor to perform a portion of the Project as described herein; and
WHEREAS, Subcontractor is willing and capable of performing such portion of the Project in accordance with the terms and conditions set forth in this Agreement.
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:
Scope of Work
Subcontractor shall perform the following specific services/works ('Subcontract Work'):

The Subcontract Work shall be completed in accordance with the specifications, drawings, and schedules provided in Exhibit A, attached hereto and incorporated by reference.
Term and Schedule
The Subcontract Work shall commence on {{start_date}} and shall be completed no later than {{completion_date}}.
Time is of the essence in the performance of the Subcontract Work. Any delays in completion must be promptly reported to Contractor and may be subject to penalties as outlined in {{penalty_clause_reference}}.
Compensation and Payment Terms
In consideration for the satisfactory performance of the Subcontract Work, Contractor shall pay Subcontractor a total amount of {{currency}}{{total_subcontract_amount}}.
Payment shall be made according to the following schedule:
- An advance payment of {{currency}}{{advance_payment_amount}} upon signing of this Agreement.
- Progress payments of {{currency}}{{progress_payment_amount}} upon completion of milestones as detailed in Exhibit B.
- The final payment of {{currency}}{{final_payment_amount}} upon final acceptance of the Subcontract Work by Contractor and Client.
Invoices shall be submitted by Subcontractor on {{invoice_submission_frequency}} and payment shall be made by Contractor within {{payment_terms_days}} days of receipt of a valid invoice.
Contractor's Responsibilities
Contractor shall:
a) Provide Subcontractor with all necessary access to the Project site.
b) Provide Subcontractor with all relevant plans, specifications, and other documentation required to perform the Subcontract Work.
c) Make timely payments to Subcontractor as per the terms of this Agreement.
d) Coordinate Subcontractor's work with the overall Project schedule.
Subcontractor's Responsibilities
Subcontractor shall:
a) Perform the Subcontract Work in a good and workmanlike manner, in accordance with industry standards and all applicable laws, codes, and regulations.
b) Provide all necessary labor, materials, equipment, and supervision for the performance of the Subcontract Work.
c) Maintain adequate insurance coverage as specified in Section {{insurance_clause_number}}.
d) Indemnify and hold harmless Contractor from any claims, damages, or expenses arising out of Subcontractor's performance of the Subcontract Work, as detailed in Section {{indemnity_clause_number}}.
e) Comply with all site safety rules and regulations.
Termination
This Agreement may be terminated by either party upon {{notice_period_days}} days' written notice.
Contractor may terminate this Agreement immediately for cause if Subcontractor:
a) Fails to commence or diligently pursue the Subcontract Work.
b) Fails to adhere to the Project schedule or quality standards.
c) Becomes insolvent or files for bankruptcy.
Upon termination, Subcontractor shall be paid for all Subcontract Work satisfactorily performed up to the date of termination, less any damages incurred by Contractor due to Subcontractor's default.
Dispute Resolution
Any dispute or claim arising out of or relating to this Agreement shall first be resolved through good faith negotiations between the parties.
If the dispute cannot be resolved through negotiation, the parties agree to engage in mediation before resorting to litigation. The mediation shall be conducted in {{city}}, {{country}}, in accordance with the rules of {{accredited_mediation_body}}.
Should mediation fail, the parties agree to submit the dispute to binding arbitration in {{city}}, {{country}}, in accordance with the rules of {{accredited_arbitration_body}}.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of {{country_of_governance}}.
Entire Agreement
This Agreement, together with its Exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
