Subcontract Agreement

This Subcontract Agreement ('Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{main_contractor_company_name}}, a company duly incorporated under the laws of {{main_contractor_jurisdiction}}, with its principal place of business at {{main_contractor_address}} (hereinafter referred to as 'Main Contractor');

AND

{{subcontractor_company_name}}, a company duly incorporated under the laws of {{subcontractor_jurisdiction}}, with its principal place of business at {{subcontractor_address}} (hereinafter referred to as 'Subcontractor').

The Main Contractor and the Subcontractor are hereinafter collectively referred to as the 'Parties' and individually as a 'Party'.

Recitals

WHEREAS, the Main Contractor has entered into a primary agreement with {{client_company_name}} ('Client') for the performance of {{main_project_description}} (the 'Main Project');

WHEREAS, the Main Contractor desires to engage the Subcontractor to perform a specific part of the Main Project, and the Subcontractor is willing and able to perform such work in accordance with the terms and conditions set forth herein.

Scope of Work

The Subcontractor shall perform the following services and supply the necessary materials, equipment, and labour as detailed in Schedule A attached hereto (the 'Subcontract Work').

The Subcontractor shall complete the Subcontract Work in accordance with the specifications, drawings, and timelines provided by the Main Contractor and as outlined in Schedule A.

Payment Terms

In consideration for the satisfactory performance of the Subcontract Work, the Main Contractor shall pay the Subcontractor a total sum of {{total_subcontract_amount}} ({{currency}}) as per the payment schedule outlined in Schedule B.

Payments shall be made within {{payment_days}} days of receipt of a valid invoice from the Subcontractor, provided that the Subcontract Work has been completed to the Main Contractor's satisfaction.

The Subcontractor shall be responsible for all taxes, including but not limited to VAT, relating to the Subcontract Work, unless otherwise agreed in writing.

Term and Termination

This Agreement shall commence on {{start_date}} and shall continue until the completion of the Subcontract Work, unless terminated earlier in accordance with the provisions herein.

Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period_days}} days of receiving written notice thereof.

Indemnity and Insurance

The Subcontractor shall indemnify and hold harmless the Main Contractor from and against any and all claims, damages, losses, and expenses, including reasonable legal fees, arising out of or resulting from the Subcontractor's performance of the Subcontract Work, including but not limited to any negligent acts or omissions of the Subcontractor or its employees, agents, or subcontractors.

The Subcontractor shall maintain adequate insurance coverage, including but not limited to public liability insurance and professional indemnity insurance, with reputable insurers and shall provide proof of such coverage to the Main Contractor upon request.

Confidentiality

The Subcontractor agrees to keep confidential all non-public information obtained during the course of performing the Subcontract Work, including but not limited to project plans, client information, and business strategies.

This confidentiality obligation shall survive the termination of this Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

Any dispute arising out of or in connection with this Agreement shall first be resolved through good faith negotiations between the Parties. If the dispute cannot be resolved through negotiation, the Parties agree to submit the dispute to mediation in {{mediation_location}}. If mediation is unsuccessful, the dispute shall be finally settled by arbitration in accordance with the rules of {{arbitration_institution}} in {{arbitration_location}}.

Entire Agreement

This Agreement, including its Schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
