SUBCONTRACT AGREEMENT
This Subcontract Agreement (the "Agreement") is made and entered into as of this {{date}} day of {{month}}, {{year}}, by and between:
{{contractor_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{contractor_company_address}} (hereinafter referred to as the "Contractor");
AND
{{subcontractor_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{subcontractor_company_address}} (hereinafter referred to as the "Subcontractor").
The Contractor and the Subcontractor are hereinafter collectively referred to as the “Parties” and individually as a “Party”.
RECITALS
WHEREAS, the Contractor has entered into a primary contract (the “Main Contract”) with {{client_company_name}} (the “Client”) for the provision of {{description_of_main_project}} at {{project_location}} (the “Project”);
WHEREAS, the Contractor desires to engage the Subcontractor to perform certain portions of the Project as described herein, and the Subcontractor is willing and capable of performing such portions.
1. SCOPE OF WORK
1.1. The Subcontractor shall perform the following work (the "Work") as more fully described in Schedule A, attached hereto and incorporated by reference:

1.2. The Work shall be performed in accordance with the specifications, drawings, and terms set forth in the Main Contract, insofar as they are applicable to the Work, and any additional specifications provided by the Contractor.
2. COMPENSATION AND PAYMENT
2.1. In consideration for the full and satisfactory performance of the Work, the Contractor shall pay the Subcontractor a total amount of {{currency}} {{total_subcontract_amount}} ({{total_subcontract_amount_words}}).
2.2. Payment shall be made in accordance with the following schedule:

2.3. All invoices submitted by the Subcontractor shall include a detailed breakdown of the Work performed and be submitted to {{invoice_submission_email_or_address}}.
3. TERM AND TERMINATION
3.1. This Agreement shall commence on {{start_date}} and shall continue until the completion of the Work, unless terminated earlier in accordance with the provisions of this Agreement.
3.2. Either Party may terminate this Agreement upon {{notice_period}} days' written notice to the other Party in the event of a material breach of this Agreement by the other Party, provided such breach is not cured within the notice period.
3.3. The Contractor may terminate this Agreement for convenience upon {{convenience_notice_period}} days' written notice to the Subcontractor, in which case the Subcontractor shall be paid for all Work satisfactorily performed up to the date of termination.
4. WARRANTIES AND INDEMNIFICATION
4.1. The Subcontractor warrants that the Work performed will be of good quality, free from defects, and conform to the specifications and requirements of this Agreement.
4.2. The Subcontractor agrees to indemnify, defend, and hold harmless the Contractor from and against any and all claims, damages, losses, and expenses, including reasonable legal fees, arising out of or resulting from the Subcontractor’s performance of the Work.
5. INSURANCE
The Subcontractor shall maintain, at its own expense, adequate insurance coverage, including but not limited to, public liability, professional indemnity, and workmen's compensation insurance, with limits not less than {{insurance_minimum_limit}}, and shall provide proof of such coverage to the Contractor upon request.
6. INDEPENDENT CONTRACTOR STATUS
The Subcontractor is an independent contractor and not an employee, agent, or partner of the Contractor. The Subcontractor shall be solely responsible for all taxes, social security contributions, and other employment-related liabilities.
7. GOVERNING LAW AND DISPUTE RESOLUTION
7.1. This Agreement shall be governed by and construed in accordance with the laws of {{country_of_governing_law}}.
7.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be first attempted to be resolved through good faith negotiations between the Parties. If the dispute cannot be resolved amicably, it shall be referred to mediation in accordance with the rules of {{mediation_body}} in {{city_for_mediation}} or, failing that, to arbitration in accordance with the rules of {{arbitration_body}} in {{city_for_arbitration}}.
