STREET VENDOR AGREEMENT

This Street Vendor Agreement (hereinafter referred to as the “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

**1. The Governing Authority/Market Organizer** (hereinafter referred to as “Organizer”):

RECITALS

WHEREAS, the Organizer is responsible for the management and regulation of vending activities within the designated area(s);

WHEREAS, the Vendor desires to operate a street vending business at the location(s) specified herein;

WHEREAS, both parties wish to establish a clear understanding of their respective rights and obligations;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. GRANT OF PERMIT/LICENCE

1.1. The Organizer hereby grants the Vendor a non-exclusive permit/licence to operate a street vending business, specifically for the sale of {{product_type}}, at the designated location(s): {{vending_location_description}}.

1.2. This permit/licence is valid for the period commencing on {{start_date}} and ending on {{end_date}}, unless terminated earlier in accordance with the provisions of this Agreement.

1.3. The Vendor shall operate strictly within the approved vending hours, which are from {{start_time}} to {{end_time}} on {{days_of_week}}.

2. VENDOR’S OBLIGATIONS

2.1. The Vendor shall comply with all applicable national and local laws, regulations, ordinances, and policies pertaining to street vending, public health, safety, environmental protection, and business operations.

2.2. The Vendor shall maintain all necessary business licenses, permits, and health certificates, and shall make them available for inspection upon request by the Organizer or relevant authorities.

2.3. The Vendor shall ensure that their vending stall, equipment, and products are kept clean, hygienic, and in good repair at all times.

2.4. The Vendor shall not cause any obstruction to pedestrian or vehicular traffic, nor shall they create excessive noise or disturbance.

2.5. The Vendor shall be responsible for the proper disposal of all refuse and waste generated by their vending operations.

2.6. The Vendor shall pay all applicable fees and charges as outlined in Section 3 of this Agreement.

3. FEES AND PAYMENT

3.1. The Vendor shall pay a non-refundable permit/licence fee of {{currency}}{{permit_fee}} ({{permit_fee_words}}) to the Organizer upon the signing of this Agreement.

3.2. In addition, the Vendor shall pay a recurring {{payment_frequency}} fee of {{currency}}{{recurring_fee}} ({{recurring_fee_words}}) for the duration of this Agreement. This fee shall be due on or before the {{due_day}} of each {{payment_frequency_unit}}.

4. INDEMNITY

4.1. The Vendor shall indemnify, defend, and hold harmless the Organizer, its officers, agents, and employees from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with the Vendor’s operations, including but not limited to, claims for personal injury, property damage, or violation of any law or regulation.

4.2. This indemnity shall survive the termination or expiration of this Agreement.

5. TERM AND TERMINATION

5.1. This Agreement shall commence on {{start_date}} and continue until {{end_date}}, unless terminated earlier in accordance with this Section.

5.2. Either party may terminate this Agreement by providing {{notice_period}} days’ written notice to the other party.

5.3. The Organizer may terminate this Agreement immediately upon written notice to the Vendor if the Vendor breaches any material term or condition of this Agreement, including but not limited to, non-payment of fees, violation of laws, or failure to maintain required licenses.

6. GOVERNING LAW AND JURISDICTION

6.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

6.2. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city}}, {{country}}.

7. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
