Acknowledgment of Independent Contractor Status
This Acknowledgment of Independent Contractor Status (the “Acknowledgment”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between {{company_name}} (hereinafter referred to as the “Company”), located at {{company_address}}, and {{contractor_name}} (hereinafter referred to as the “Contractor”), residing at {{contractor_address}}, and with identity/passport number {{contractor_id_number}}.
Purpose of Acknowledgment
The purpose of this Acknowledgment is to confirm and clarify the independent contractor relationship between the Company and the Contractor, and to ensure that both parties understand and agree to the terms and conditions governing this relationship.
The Contractor agrees that they are engaged by the Company solely as an independent contractor, and not as an employee, partner, agent, or joint venturer of the Company for any purpose whatsoever.
Key Understandings of Independent Contractor Status
The Contractor acknowledges and agrees to the following:
1. **No Employment Relationship**: This Acknowledgment does not create an employer-employee relationship between the Company and the Contractor. The Contractor is responsible for their own services, methods, and means of performing the work.
2. **Control over Work**: The Contractor shall have sole control over the manner and means by which the services are performed, subject to the specifications and deadlines agreed upon with the Company.
3. **Remuneration**: The Contractor shall be compensated for services rendered as per the terms of the separate Service Agreement or engagement letter dated {{agreement_date}}, and understands that no employee benefits (such as health insurance, retirement plans, paid leave, etc.) will be provided by the Company.
4. **Taxes and Statutory Contributions**: The Contractor is solely responsible for all income tax, value-added tax (VAT) where applicable, social security contributions, unemployment insurance contributions, and any other statutory deductions or contributions required by law in {{country}} or any other relevant jurisdiction. The Company will not withhold any taxes or contributions from payments made to the Contractor.
5. **Expenses**: The Contractor shall be responsible for all their own business expenses, including but not limited to equipment, tools, supplies, and travel, unless otherwise explicitly agreed upon in writing.
6. **No Exclusivity**: The Contractor is free to perform similar services for other clients, provided such engagements do not conflict with the Contractor’s obligations to the Company under any confidentiality or non-compete agreements.
7. **Liability and Insurance**: The Contractor is responsible for maintaining their own professional liability insurance, general liability insurance, and any other insurance deemed necessary for their operations. The Contractor indemnifies and holds harmless the Company from any claims, damages, or liabilities arising from the Contractor’s performance of services.
8. **Termination**: Either party may terminate the engagement as per the terms outlined in the separate Service Agreement. Upon termination, the Company’s only obligation will be to pay for services rendered up to the date of termination.
Services to be Performed
The specific services to be performed by the Contractor for the Company are detailed in the attached or referenced Service Agreement dated {{agreement_date}}, which is incorporated herein by reference. The Contractor agrees to provide such services with professional diligence and skill.
Governing Law

Entire Agreement
