Advertising Sales Representation Agreement

This Advertising Sales Representation Agreement (hereinafter referred to as the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

1. Appointment and Acceptance

1.1. The Principal hereby appoints the Representative as its non-exclusive/exclusive sales representative for the purpose of soliciting and securing advertising sales for {{product_or_service_description}} (hereinafter referred to as 'Advertising Services') within the territory defined in Section 2 (the 'Territory').

1.2. The Representative hereby accepts such appointment and agrees to diligently and faithfully perform the duties and responsibilities set forth in this Agreement.

2. Territory

2.1. The Representative shall be responsible for generating advertising sales within the following geographical territory: {{territory_description}}.

3. Responsibilities of the Representative

3.1. The Representative shall:

a. Use best efforts to promote and sell the Advertising Services to prospective clients within the Territory.

b. Conduct all sales activities in a professional manner and in accordance with the Principal's sales policies and guidelines.

c. Provide regular reports on sales activities, client feedback, and market conditions as reasonably requested by the Principal.

d. Not make any representations, warranties, or commitments on behalf of the Principal unless expressly authorized in writing.

4. Commission

4.1. In consideration for the Representative's services, the Principal shall pay the Representative a commission of {{commission_percentage}}% of the net revenue generated from advertising sales secured by the Representative and duly paid by the client.

4.2. Commissions shall be calculated on a monthly basis and paid to the Representative by the {{payment_day_of_month}} day of the following month.

4.3. The Principal reserves the right to withhold commission on sales that result in bad debt, cancellation, or refunds.

5. Term and Termination

6.1. The Representative agrees to keep confidential all proprietary and confidential information of the Principal, including but not limited to, client lists, pricing strategies, and marketing materials.

7. Governing Law and Dispute Resolution

7.1. This Agreement shall be governed by and construed in accordance with the laws of [South Africa/Nigeria/Kenya/etc.].

7.2. Any dispute arising out of or in connection with this Agreement shall be resolved through amicable negotiation. If a resolution cannot be reached, the dispute shall be submitted to mediation/arbitration in {{city_name}} under the rules of the {{arbitration_body_name}}.

8. Entire Agreement

8.1. This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
