Advertising Sales Representation Agreement

This Advertising Sales Representation Agreement (hereinafter referred to as the “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

1. Appointment and Acceptance

1.1 The Company hereby appoints the Representative as its non-exclusive/exclusive advertising sales representative for the sale of its advertising products and services within the designated territory of {{territory}} (hereinafter referred to as the “Territory”), and the Representative hereby accepts such appointment.

1.2 The Representative shall diligently and professionally promote and sell the Company’s advertising products and services to prospective clients within the Territory.

2. Responsibilities of the Representative

2.1 The Representative shall use their best efforts to secure advertising sales for the Company.

2.2 The Representative shall maintain regular contact with existing and potential clients, provide information about the Company’s advertising products and services, and assist with the preparation of advertising campaigns.

2.3 The Representative shall not make any representations, warranties, or commitments on behalf of the Company unless expressly authorized in writing.

3. Compensation

3.1 For services rendered under this Agreement, the Company shall pay the Representative a commission of {{commission_percentage}}% on the net revenue received by the Company from advertising sales generated by the Representative.

3.2 Commissions shall be calculated based on payments actually received by the Company and shall be paid to the Representative on a {{payment_frequency}} basis, within {{days_payment_due}} days after the end of each {{payment_period}}.

3.3 No commission shall be payable on uncollectible accounts, refunds, or chargebacks.

4. Term and Termination

5. Confidentiality

5.1 The Representative acknowledges that they may have access to confidential information regarding the Company’s business, clients, and advertising strategies. The Representative agrees to keep all such information strictly confidential and not to disclose it to any third party during or after the term of this Agreement.

6. Independent Contractor Status

6.1 The Representative shall operate as an independent contractor and not as an employee, partner, or joint venturer of the Company. The Representative shall be solely responsible for all taxes, national insurance contributions, and other statutory payments arising from their compensation under this Agreement.

7. Governing Law and Dispute Resolution

7.1 This Agreement shall be governed by and construed in accordance with the laws of [Country].

7.2 Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Country].
