ASSIGNMENT OF WEBSITE CREATOR

This Assignment of Website Creator ('Agreement') is made and entered into this {{day}} day of {{month}}, {{year}}, by and between:

AND

{{creator_full_name}}, an individual residing at {{creator_address}}, or a company duly incorporated under the laws of {{country}}, with its principal place of business at {{creator_physical_address}} (hereinafter referred to as 'Assignor').

RECITALS

WHEREAS, the Assignor has conceptualized, designed, developed, and/or created the website described in Schedule A hereto (the 'Website');

WHEREAS, the Assignor warrants that they are the sole owner of all rights, title, and interest in and to the Website, including all intellectual property rights therein;

WHEREAS, Assignor desires to assign, and Assignee desires to acquire, all rights, title, and interest in and to the Website, including all intellectual property rights, for the consideration set forth herein.

ASSIGNMENT

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Assignor does hereby irrevocably assign, transfer, and convey to the Assignee, its successors and assigns, all of the Assignor’s right, title, and interest in and to the Website, including, without limitation, all copyrights, trademarks, industrial designs, patents, trade secrets, domain names, content, source code, object code, graphics, text, images, audio, video, databases, and all other intellectual property rights and proprietary rights of any kind or nature associated with the Website, whether now known or hereafter existing, throughout the world.

WARRANTIES AND REPRESENTATIONS

The Assignor hereby represents and warrants to the Assignee that:

a) The Assignor is the sole and exclusive owner of the Website and all intellectual property rights associated therewith, free and clear of any liens, encumbrances, or claims of any kind.

b) The Assignor has the full right, power, and authority to enter into this Agreement and to make the assignment contemplated herein.

c) The Website does not infringe upon or violate any copyrights, trademarks, trade secrets, patents, or any other proprietary or intellectual property rights of any third party.

d) The Assignor has not previously assigned, transferred, licensed, or otherwise encumbered any of the rights in the Website to any third party.

e) The Assignor will not, directly or indirectly, challenge the Assignee's ownership of the Website or any intellectual property rights assigned hereunder.

COOPERATION

The Assignor agrees to execute any and all further documents, including copyright registrations, assignments, and other instruments, and to perform any acts that the Assignee deems necessary or desirable to perfect, confirm, or record the Assignee’s ownership of the Website and the intellectual property rights assigned hereunder, both in {{country}} and abroad.

INDEMNIFICATION

The Assignor agrees to indemnify, defend, and hold harmless the Assignee, its officers, directors, employees, and agents from and against any and all claims, demands, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with any breach of the Assignor’s representations, warranties, or covenants contained in this Agreement.

GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{country}}.

ENTIRE AGREEMENT
