ASSIGNMENT OF WEBSITE CREATOR

This Assignment of Website Creator ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}} ("Effective Date")

BETWEEN:

{{assignor_company_name}}, a company duly incorporated and existing under the laws of {{assignor_jurisdiction}}, with its principal place of business at {{assignor_address}} (hereinafter referred to as "Assignor");

AND

{{assignee_company_name}}, a company duly incorporated and existing under the laws of {{assignee_jurisdiction}}, with its principal place of business at {{assignee_address}} (hereinafter referred to as "Assignee").

Collectively, the Assignor and Assignee shall be referred to as "Parties" and individually as "Party".

RECITALS

WHEREAS, the Assignor has created and developed a website known as {{website_name}} (the "Website"), located at {{website_url}} (the "Website");

WHEREAS, the Assignor is the sole and exclusive owner of all rights, title, and interest in and to the Website, including all intellectual property rights therein;

WHEREAS, the Assignor desires to assign, transfer, and convey all of its rights, title, and interest in and to the Website to the Assignee; and

WHEREAS, the Assignee desires to acquire all rights, title, and interest in and to the Website from the Assignor.

ASSIGNMENT

For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Assignor hereby irrevocably assigns, transfers, and conveys to the Assignee, its successors and assigns, all of its worldwide right, title, and interest in and to the Website, including, without limitation: (a) all intellectual property rights in the Website, including copyrights, trademarks, trade secrets, domain names, and any moral rights to the extent assignable; (b) all source code, object code, design elements, graphics, text, images, audio, video, functionalities, and other content and components of the Website; and (c) all goodwill associated with the Website. This assignment includes the right to sue for past, present, and future infringements.

CONSIDERATION

In consideration for the assignment set forth herein, the Assignee shall pay the Assignor the sum of {{amount}} ({{currency}}) on or before {{payment_date}}.

REPRESENTATIONS AND WARRANTIES OF ASSIGNOR

The Assignor hereby represents and warrants to the Assignee that: (a) the Assignor is the sole owner of all rights, title, and interest in and to the Website; (b) the Assignor has the full right, power, and authority to enter into this Agreement and to make the assignment contemplated herein; (c) the Website does not infringe upon any intellectual property rights of any third party; (d) there are no outstanding liens, claims, or encumbrances on the Website; and (e) the Assignor has not previously assigned or licensed any rights in the Website to any third party.

INDEMNIFICATION

The Assignor agrees to indemnify, defend, and hold harmless the Assignee from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of the Assignor's representations and warranties contained in this Agreement or any claims by third parties that the Website or any part thereof infringes their intellectual property rights prior to the Effective Date.

GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{governing_jurisdiction}}.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
