Bonus Agreement

This Bonus Agreement (the “Agreement”) is made and entered into effective as of {{effective_date}} (the “Effective Date”), by and between {{company_name}} (the “Company”), a company duly incorporated under the laws of [Jurisdiction, e.g., South Africa], and {{employee_name}} (the “Employee”), residing at {{employee_address}}.

1. Purpose

The purpose of this Agreement is to establish the terms and conditions governing the payment of a bonus to the Employee based on achieving specific performance targets and/or company objectives, in recognition of the Employee's contributions to the Company’s success.

2. Eligibility

The Employee shall be eligible for a bonus as outlined in this Agreement, provided that the Employee remains in the continuous employment of the Company from the Effective Date through the date of bonus payment. Eligibility may also be contingent on the Employee's performance review rating for the bonus period being satisfactory or above.

3. Bonus Structure and Targets

The bonus will be based on the following criteria:

a) Individual Performance Targets: Achievement of specific, measurable, achievable, relevant, and time-bound (SMART) objectives set for the Employee, as detailed in Appendix A: Performance Targets.

b) Company Performance Targets: Achievement of overall company revenue, profitability, or other key performance indicators (KPIs) as determined by the Company’s board of directors or management team. The weighting of company performance in the bonus calculation will be {{company_performance_weighting}}%.

c) Bonus Pool: The total bonus pool may be subject to the Company’s financial performance and discretionary approval by the Board of Directors.

The target bonus amount for the Employee is {{target_bonus_percentage}}% of the Employee's annual gross salary, or a fixed amount of {{target_bonus_amount}} ({{currency}}).

4. Bonus Calculation and Payment

The bonus period shall be from {{bonus_start_date}} to {{bonus_end_date}}. The bonus amount, if any, will be calculated by {{calculation_method}} and paid no later than {{payment_date}} following the end of the bonus period. All bonus payments are subject to applicable taxes and statutory deductions.

5. Discretionary Nature of Bonus

Notwithstanding any other provision of this Agreement, the Company reserves the right, in its sole discretion, to modify, amend, or terminate this bonus program at any time, with or without prior notice. The payment of a bonus in one period does not guarantee the payment of a bonus in any subsequent period.

6. Termination of Employment

If the Employee's employment terminates for any reason prior to the bonus payment date, the Employee shall not be entitled to receive any bonus payment, unless otherwise expressly provided in writing by the Company or as required by law. In the event of redundancy, the Company’s redundancy policy will apply regarding any pro-rata bonus considerations.

7. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction, e.g., South Africa]. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction, e.g., South Africa].

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, of the parties. No amendment to this Agreement shall be effective unless it is in writing and signed by both parties.
