Chief Agent Agreement (Short Form)

This Chief Agent Agreement (hereinafter referred to as “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{company_name}} (Registration Number: {{company_registration_number}}), a company duly incorporated under the laws of [Jurisdiction, e.g., South Africa], with its principal place of business at {{company_address}} (hereinafter referred to as “the Company”);

AND

{{agent_name}} (Identification/Passport Number: {{agent_id_number}}), an individual residing at {{agent_address}} (hereinafter referred to as “the Chief Agent”).

Collectively referred to as “the Parties”.

1. Appointment

The Company hereby appoints the Chief Agent as its non-exclusive Chief Agent for the promotion and sale of {{products_and_services}} (hereinafter referred to as “the Products”) within the agreed territory of {{territory_description}}.

2. Term

This Agreement shall commence on {{start_date}} and shall continue for an initial period of {{initial_term_duration}} unless terminated earlier in accordance with the provisions of this Agreement.

3. Duties of the Chief Agent

The Chief Agent agrees to:

a. Promote and sell the Products with due diligence and professionalism.

b. Act in the best interest of the Company at all times.

c. Provide regular reports on sales activities as requested by the Company.

d. Not to hold out himself/herself as having any authority to bind the Company contractually, save where expressly authorised in writing by the Company.

4. Commission

The Company shall pay the Chief Agent a commission of {{commission_percentage}}% on the net sales value of Products successfully sold and paid for, attributable directly to the Chief Agent’s efforts.

Commissions shall be calculated and paid on a {{payment_frequency}} basis, within {{payment_days}} days following the end of each {{payment_period}}.

5. Independent Contractor Status

The Chief Agent is an independent contractor and not an employee, partner, or joint venturer of the Company. The Chief Agent shall be solely responsible for all taxes, national insurance contributions, and other statutory payments arising from the commission earned under this Agreement.

6. Termination

Either Party may terminate this Agreement by giving {{notice_period}} written notice to the other Party.

This Agreement may also be terminated immediately by either Party in the event of a material breach of its terms by the other Party, which breach is not remedied within {{cure_period_days}} days of written notice.

7. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of {{governing_country_or_province}}.

Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{jurisdiction_city_or_province}}.
