Chief Agent Agreement (Short Form)
This Agreement is made and entered into on this {{day}} day of {{month}}, {{year}}
BETWEEN:
{{principal_company_name}} (Registration Number: {{principal_registration_number}}), a company duly incorporated in accordance with the laws of {{principal_country}}, with its principal place of business at {{principal_address}} (hereinafter referred to as “the Principal”);
AND
{{agent_company_name}} (Registration Number: {{agent_registration_number}}), a company duly incorporated in accordance with the laws of {{agent_country}}, with its principal place of business at {{agent_address}} (hereinafter referred to as “the Chief Agent”).
Collectively referred to as “the Parties” and individually as “Party”.
1. APPOINTMENT
The Principal hereby appoints the Chief Agent, and the Chief Agent hereby accepts such appointment, as its non-exclusive Chief Agent for the marketing and sale of {{products_or_services}} (hereinafter referred to as “the Products”) within the territory of {{territory}} (hereinafter referred to as “the Territory”).
2. DUTIES OF THE CHIEF AGENT
2.1 The Chief Agent shall use its best endeavours to promote and sell the Products within the Territory.
2.2 The Chief Agent shall not, without the prior written consent of the Principal, represent or act as an agent for any products or services competitive with the Products within the Territory.
2.3 The Chief Agent shall submit regular reports to the Principal detailing sales activities, market conditions, and any other relevant information as reasonably requested by the Principal.
3. COMMISSION
3.1 The Principal shall pay the Chief Agent a commission of {{commission_percentage}}% of the net sales value of all Products sold by the Chief Agent.
3.2 Commission shall be calculated on {{commission_calculation_basis}} and paid to the Chief Agent on the {{payment_day}} day of each month for sales concluded in the preceding month.
3.3 All commissions are subject to applicable taxes and deductions.
4. TERM AND TERMINATION
4.1 This Agreement shall commence on the Effective Date and continue for a period of {{agreement_term_months}} months, unless terminated earlier in accordance with the provisions hereof.
4.2 Either Party may terminate this Agreement by giving {{notice_period_days}} days’ written notice to the other Party.
4.3 Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period_days}} days of receiving written notice to do so.
5. CONFIDENTIALITY
5.1 The Chief Agent acknowledges that during the course of this Agreement it may have access to confidential information belonging to the Principal.
5.2 The Chief Agent undertakes to keep all such confidential information secret and not to disclose it to any third party without the prior written consent of the Principal.
6. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of {{country_of_governing_law}}.
The Parties hereby consent to the non-exclusive jurisdiction of the {{jurisdiction_court}} for the resolution of any disputes arising under this Agreement.
