Continued Service Agreement
This Continued Service Agreement ("Agreement") is made and entered into as of {{effective_date}} ("Effective Date")
BETWEEN:
{{company_name}}, a company duly incorporated under the laws of [African Country, e.g., South Africa], with its principal place of business at {{company_address}} (hereinafter referred to as "the Company"),
AND
{{employee_name}}, an adult residing at {{employee_address}} (hereinafter referred to as "the Employee").
WHEREAS, the Company and the Employee previously entered into an employment agreement dated {{original_agreement_date}} (the “Original Agreement”);
WHEREAS, the parties desire to continue the employment relationship under the terms and conditions set forth herein.
1. Continued Employment
The Company agrees to continue to employ the Employee, and the Employee agrees to continue employment with the Company, effective from the Effective Date, under the terms and conditions outlined in this Agreement and the Original Agreement, to the extent not contradicted by this Agreement.
The Employee's position shall be {{employee_position}}, reporting to {{reporting_manager}}.
2. Remuneration and Benefits
The Employee's gross monthly salary shall be {{currency}}{{salary_amount}} per month, payable in accordance with the Company's standard payroll practices.
The Employee shall be entitled to such benefits as are generally provided to employees of similar standing in the Company, including but not limited to health insurance, pension contributions as required by [African Country law, e.g., the Pension Funds Act of South Africa], and paid time off, as outlined in the Company's Human Resources policies, which may be amended from time to time.
Any performance-based bonuses or incentives shall be subject to the Company's discretion and performance review processes, as detailed in the Company's bonus policy.
3. Duties and Responsibilities
The Employee shall perform competently and diligently all duties and responsibilities as may be assigned by the Company from time to time, consistent with the Employee's position. A detailed job description is attached hereto as Schedule A.
4. Confidentiality and Intellectual Property
The Employee acknowledges that during the course of employment, they will have access to confidential and proprietary information belonging to the Company. The Employee agrees to maintain the strict confidentiality of all such information during and after the term of employment.
Any intellectual property developed by the Employee in the course of their employment shall be the sole property of the Company, in accordance with applicable [African Country, e.g., South African] intellectual property laws.
5. Termination
Employment under this Agreement may be terminated by either party by providing {{notice_period}} days' written notice.
The Company may terminate this Agreement without notice for serious misconduct, gross negligence, or breach of any material term of this Agreement by the Employee, in accordance with [African Country, e.g., South African] labour laws (e.g., the Labour Relations Act).
Upon termination, the Employee shall return all Company property in their possession.
6. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of [African Country, e.g., South Africa].
Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [African Country, e.g., South Africa].
7. Entire Agreement
This Agreement, together with the Original Agreement and any attached schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
Any amendments to this Agreement must be in writing and signed by both parties.
