Exclusive Contractor Agreement

This Exclusive Contractor Agreement ('Agreement') is made and entered into this {{day}} day of {{month}}, {{year}} ('Effective Date'), by and between:

{{company_name}}, a company duly incorporated and existing under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as 'the Client');

AND

{{contractor_name}}, an individual/company residing/incorporated at {{contractor_address}}, holding ID/Registration Number {{contractor_id_number}} (hereinafter referred to as 'the Contractor').

The Client and the Contractor are hereinafter collectively referred to as 'the Parties' and individually as 'Party'.

Recitals

WHEREAS, the Client is engaged in the business of {{client_business_description}} and requires certain services;

WHEREAS, the Contractor is skilled and experienced in providing {{contractor_service_description}} services;

WHEREAS, the Client desires to retain the services of the Contractor on an exclusive basis, and the Contractor desires to provide such services to the Client, subject to the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the Parties hereto agree as follows:

1. Scope of Services

1.1 The Contractor shall perform the services ('Services') as more fully described in Schedule A attached hereto and incorporated by reference.

1.2 The Contractor agrees to perform the Services diligently, professionally, and in accordance with the specifications and deadlines agreed upon by the Parties.

1.3 The Contractor shall not, during the term of this Agreement, render services of a similar nature to any other person, firm, or company involved in a business competitive with that of the Client, without the prior written consent of the Client.

2. Term and Termination

2.1 This Agreement shall commence on the Effective Date and shall continue for a period of {{term_duration}} months/years, unless terminated earlier in accordance with the provisions of this Agreement.

2.2 Either Party may terminate this Agreement by giving {{notice_period}} days' written notice to the other Party.

2.3 The Client may terminate this Agreement immediately upon written notice if the Contractor breaches any material term of this Agreement and fails to remedy such breach within {{cure_period}} days of receiving written notice thereof.

2.4 Upon termination, the Contractor shall be entitled to payment for Services rendered up to the date of termination, subject to any set-offs for damages incurred by the Client due to the Contractor’s breach.

3. Remuneration

3.1 In consideration for the Services rendered by the Contractor, the Client shall pay the Contractor a fee of {{fee_amount}} {{currency}} per {{payment_period}} (e.g., hour, day, month) OR a total project fee of {{total_project_fee}} {{currency}}.

3.2 Payment shall be made on or before the {{payment_day}} day of each {{payment_month}} upon submission of a valid invoice by the Contractor.

3.3 The Contractor shall be responsible for all taxes, including income tax and value-added tax (if applicable), related to the remuneration received under this Agreement.

4. Independent Contractor Status

4.1 The Contractor is an independent contractor and nothing in this Agreement shall be construed as creating an employer-employee relationship, partnership, or joint venture between the Parties.

4.2 The Contractor shall be solely responsible for all expenses incurred in the performance of the Services, including but not limited to equipment, tools, and transportation, unless otherwise agreed to in writing by the Client.

4.3 The Contractor shall not be entitled to any employee benefits provided by the Client, including but not limited to health insurance, paid leave, or retirement plans.

5. Confidentiality

5.1 The Contractor acknowledges that during the course of performing the Services, they may have access to confidential and proprietary information belonging to the Client.

5.2 The Contractor agrees to keep all such information strictly confidential and not to disclose it to any third party or use it for any purpose other than the performance of the Services, both during and after the term of this Agreement.

6. Intellectual Property

6.1 All intellectual property rights, including but not limited to copyrights, patents, trademarks, and trade secrets, arising from the Services performed by the Contractor under this Agreement, shall be the sole and exclusive property of the Client.

6.2 The Contractor hereby assigns to the Client all rights, title, and interest in and to any intellectual property created during the performance of the Services.

7. Governing Law and Jurisdiction

7.1 This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

7.2 Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{city}}, in accordance with the rules of the {{arbitration_body}}.

8. Entire Agreement

8.1 This Agreement, including Schedule A, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.

8.2 No modification or amendment of this Agreement shall be effective unless in writing and signed by both Parties.
