EXCLUSIVE IMPORTATION AND SALES AGREEMENT

This Exclusive Importation and Sales Agreement (the “Agreement”) is made and entered into effective as of {{effective_date}} (the “Effective Date”) by and between:

**{{manufacturer_company_name}}** (hereinafter referred to as “Manufacturer”), a company duly organized and existing under the laws of {{manufacturer_country}}, with its principal place of business located at {{manufacturer_address}}.

AND

**{{distributor_company_name}}** (hereinafter referred to as “Distributor”), a company duly organized and existing under the laws of {{distributor_country}}, with its principal place of business located at {{distributor_address}}.

Manufacturer and Distributor are hereinafter collectively referred to as “Parties” and individually as “Party.”

1. APPOINTMENT AND TERRITORY

1.1. Manufacturer hereby appoints Distributor as its exclusive importer and seller of the Products (as defined in Section 2) within the territory of {{territory_description}} (the “Territory”), and Distributor hereby accepts such appointment.

1.2. Manufacturer agrees not to appoint any other importer or seller for the Products within the Territory during the term of this Agreement and will refer all inquiries for the Products from within the Territory to Distributor.

2. PRODUCTS

2.1. The term “Products” shall mean the following goods or categories of goods manufactured by Manufacturer:

2.2. Manufacturer reserves the right to add or remove Products from this Agreement upon {{notice_period}} days' written notice to Distributor.

3. TERM AND TERMINATION

3.1. This Agreement shall commence on the Effective Date and continue for a period of {{initial_term_years}} years, unless terminated earlier in accordance with the provisions herein (the “Initial Term”). This Agreement shall automatically renew for successive periods of {{renewal_term_years}} years (each a “Renewal Term”) unless either Party provides written notice of non-renewal at least {{non_renewal_notice_period}} days prior to the expiration of the Initial Term or the then-current Renewal Term.

3.2. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of this Agreement and fails to cure such breach within {{cure_period_days}} days after receiving written notice thereof.

3.3. Either Party may terminate this Agreement for convenience by providing {{convenience_termination_notice_period}} days' written notice to the other Party.

4. PRICING AND PAYMENT TERMS

4.1. The prices for the Products shall be as set forth in Exhibit A (Pricing Schedule) attached hereto and incorporated herein by reference, or as otherwise agreed upon in writing by the Parties.

4.2. Distributor shall pay Manufacturer for the Products in {{currency}} within {{payment_days}} days from the date of the invoice.

4.3. All prices are {{INCOTERMS_term}} and exclude any applicable taxes, duties, and customs fees, which shall be the sole responsibility of the Distributor.

5. MINIMUM PURCHASE REQUIREMENTS

5.1. Distributor agrees to purchase a minimum quantity of Products totalling {{minimum_purchase_amount}} {{currency}} or {{minimum_purchase_units}} units per {{period}}.

5.2. Failure to meet the minimum purchase requirement may result in Manufacturer converting this Agreement to a non-exclusive agreement or terminating this Agreement upon {{failure_to_meet_min_notice_period}} days' written notice.

6. MARKETING AND SALES

6.1. Distributor shall use its best efforts to promote, market, and sell the Products within the Territory.

6.2. Manufacturer shall provide Distributor with reasonable marketing support, materials, and training regarding the Products.

6.3. Distributor shall not sell the Products outside the Territory without the prior written consent of Manufacturer.

7. INTELLECTUAL PROPERTY

7.1. Distributor acknowledges that all intellectual property rights related to the Products, including but not limited to trademarks, copyrights, and patents, are and shall remain the exclusive property of Manufacturer.

7.2. Distributor shall not use Manufacturer’s intellectual property except as expressly authorized in this Agreement and solely for the purpose of marketing and selling the Products.

8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}.

8.2. Any dispute, controversy, or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{arbitration_city}}, {{arbitration_country}}, in accordance with the rules of the {{arbitration_institution}}.

9. ENTIRE AGREEMENT

This Agreement, including any Exhibits attached hereto, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
