EXCLUSIVE LEASE AGREEMENT

This Exclusive Lease Agreement (''Agreement'') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

Landlord: {{landlord_name}}, with a principal place of business at {{landlord_address}} (''Landlord'').

Tenant: {{tenant_name}}, with a principal place of business at {{tenant_address}} (''Tenant'').

The Landlord and Tenant are hereinafter collectively referred to as the ''Parties'' and individually as a ''Party''.

1. PREMISES

The Landlord hereby leases to the Tenant, and the Tenant hereby leases from the Landlord, the exclusive right to occupy and use the property located at {{property_address}}, {{city}}, {{state}}, {{zip_code}} (hereinafter referred to as the ''Premises''). The Premises consists of approximately {{square_footage}} square meters/feet and is further described in Exhibit A attached hereto.

2. EXCLUSIVE USE

The Landlord covenants and agrees that during the term of this Agreement, the Tenant shall have the exclusive right to occupy and use the Premises. The Landlord shall not lease, rent, or permit any other party to occupy or use any part of the Premises, nor any other property within a {{mileage_radius}} mile radius of the Premises for purposes competitive with the Tenant's business activities as described in Section 3.

3. TERM

The term of this Agreement shall commence on {{start_date}} and shall continue for a period of {{lease_term_years}} ({{lease_term_years_words}}) years, ending on {{end_date}}, unless sooner terminated as provided herein. Either Party may opt to renew this Agreement for a further {{renewal_term_years}} ({{renewal_term_years_words}}) years by providing written notice to the other Party at least {{notice_days}} days prior to the expiration of the current term, subject to renegotiation of terms.

4. RENT

The Tenant shall pay to the Landlord a monthly rent of {{currency_symbol}}{{monthly_rent}} ({{monthly_rent_words}}), due and payable in advance on the {{due_day}} day of each calendar month. Payments shall be made to the Landlord at the Landlord's address stated above, or other such place as the Landlord may designate in writing. A late fee of {{currency_symbol}}{{late_fee}} will be applied for payments received more than {{grace_period_days}} days after the due date.

5. SECURITY DEPOSIT

Upon execution of this Agreement, the Tenant shall deposit with the Landlord a security deposit of {{currency_symbol}}{{security_deposit}} ({{security_deposit_words}}). This deposit shall be held by the Landlord as security for the Tenant's performance of the terms and conditions of this Agreement. The security deposit shall be returned to the Tenant within {{return_days}} days after the termination of this Agreement, less any deductions for damages beyond normal wear and tear, unpaid rent, or other charges as permitted by law.

6. MAINTENANCE AND REPAIRS

The Tenant shall be responsible for maintaining the interior of the Premises in good condition and making minor repairs as necessary. The Landlord shall be responsible for structural repairs, exterior maintenance, and major systems (e.g., HVAC, plumbing, electrical), unless damage is caused by the Tenant's negligence or misuse. The Tenant shall promptly notify the Landlord of any repairs needed.

7. INSURANCE

The Tenant shall, at its own expense, maintain comprehensive general liability insurance with limits of not less than {{currency_symbol}}{{liability_insurance_limit}} per occurrence, insuring against all liability for injury to persons or property arising out of the Tenant's use or occupancy of the Premises. The Landlord shall maintain property insurance for the Premises. Each Party shall provide the other with a certificate of insurance upon request.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of {{country_name}}, and the parties hereby submit to the exclusive jurisdiction of the courts of {{country_name}}.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties and supersedes all prior negotiations, understandings, and agreements, whether written or oral, relating to the subject matter hereof. No amendment or modification of this Agreement shall be valid unless in writing and signed by both Parties.
