Parties

This Extension of Agreement ("Extension") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{first_party_name}}, a company duly incorporated and existing under the laws of {{first_party_jurisdiction}}, with its registered office at {{first_party_address}} (hereinafter referred to as "Party A"); and

{{second_party_name}}, a company duly incorporated and existing under the laws of {{second_party_jurisdiction}}, with its registered office at {{second_party_address}} (hereinafter referred to as "Party B").

Party A and Party B are hereinafter collectively referred to as the "Parties" and individually as a "Party".

Recitals

WHEREAS, the Parties previously entered into an Agreement dated {{original_agreement_date}} concerning {{brief_description_of_original_agreement}} (hereinafter referred to as the "Original Agreement"); and

WHEREAS, the Original Agreement is currently set to expire on {{original_expiry_date}}; and

WHEREAS, the Parties mutually desire to extend the term of the Original Agreement under the terms and conditions set forth herein.

Extension of Term

The Parties hereby agree to extend the term of the Original Agreement for an additional period of {{extension_period_number}} ({{extension_period_words}}) {{extension_unit}} (e.g., months, years), commencing on {{new_start_date}} and terminating on {{new_expiry_date}}, unless otherwise terminated earlier in accordance with the terms of the Original Agreement or extended further by mutual written consent of the Parties.

Amendments

Except as expressly modified herein, all other terms and conditions of the Original Agreement shall remain in full force and effect. Any references to the term or duration in the Original Agreement shall be deemed to refer to the extended term as provided in this Extension.

Governing Law

This Extension shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

Entire Agreement

This Extension, together with the Original Agreement, constitutes the entire understanding and agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written, between the Parties.

Counterparts

This Extension may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be deemed original signatures for all purposes.
