Instagram Influencer Agreement

This Instagram Influencer Agreement (hereinafter referred to as the “Agreement”) is made and entered into on this {{date}} by and between:

{{company_name}}, a company duly incorporated under the laws of [{{country}}], with its principal place of business located at {{company_address}} (hereinafter referred to as the “Company”); and

{{influencer_name}}, an individual residing at {{influencer_address}}, with Instagram handle @{{instagram_handle}} (hereinafter referred to as the “Influencer”).

Collectively referred to as the “Parties” and individually as a “Party”.

1. Services

The Influencer hereby agrees to provide social media marketing services to the Company on the Instagram platform (hereinafter referred to as the “Services”). These Services shall include, but not be limited to, the creation and publication of sponsored posts, stories, and/or reels, as further detailed in Schedule A attached hereto.

The Influencer agrees to prominently feature the Company’s products/services (hereinafter referred to as the “Products”) in an authentic and engaging manner.

The Influencer shall use reasonable efforts to promote the Products to their audience and drive engagement, traffic, and/or sales to the Company’s designated platforms.

2. Deliverables

The Influencer shall create and publish the following deliverables:

a) {{number_of_posts}} Instagram static posts, each including a high-quality image or video, engaging caption, relevant hashtags provided by the Company, and a clear call to action.

b) {{number_of_stories}} Instagram Stories, each featuring the Products, and interactive elements such as swipe-up links or polls, as agreed upon.

c) {{number_of_reels}} Instagram Reels, showcasing the Products in an entertaining and creative format.

All content must be submitted to the Company for approval at least {{days_for_approval}} days prior to the scheduled publication date. The Company reserves the right to request reasonable modifications to the content.

3. Payment and Compensation

In consideration for the Services provided by the Influencer, the Company shall pay the Influencer a total fee of {{payment_amount}} {{currency}} ({{currency_word_form}}).

Payment shall be made as follows: {{payment_schedule}}.

All payments will be made via {{payment_method}}.

The Influencer shall also receive {{product_samples_or_gifts}} as part of the compensation package.

Any additional expenses incurred by the Influencer must be pre-approved by the Company in writing and will be reimbursed upon submission of valid receipts.

4. Content Ownership and Usage Rights

The Influencer grants the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, and display the created content for promotional purposes on the Company's own social media channels, website, and other marketing materials.

The Influencer retains ownership of the raw content and intellectual property rights to the extent not transferred herein.

5. Compliance and Disclosure

The Influencer agrees to comply with all applicable laws, regulations, and industry guidelines regarding influencer marketing and advertising, including but not limited to, clearly disclosing their relationship with the Company in all promotional content. This includes using appropriate hashtags such as #ad, #sponsored, or #{{company_hashtag}}.

The Influencer shall not make any false, misleading, or unsubstantiated claims about the Products.

6. Term and Termination

This Agreement shall commence on {{start_date}} and shall continue until {{end_date}}, unless terminated earlier in accordance with the provisions herein.

Either Party may terminate this Agreement with {{notice_period}} days' written notice to the other Party in the event of a material breach of this Agreement.

Upon termination, the Influencer shall promptly remove all Company-related content from their Instagram profile, unless otherwise agreed upon in writing. Pro-rata payment will be calculated for services rendered up to the termination date.

7. Confidentiality

The Influencer agrees to maintain the confidentiality of any proprietary or sensitive information disclosed by the Company during the term of this Agreement and for a period of {{confidentiality_period}} thereafter.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of [{{country}}].

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be resolved through amicable negotiations between the Parties. If the dispute cannot be resolved through negotiation, the Parties agree to submit to the exclusive jurisdiction of the courts of [{{country}}].
