Agreement Parties

This Influencer Agreement (“Agreement”) is made and entered into on this {{date}} by and between:

Campaign Details

**Deliverables:** The Influencer agrees to produce and publish the following content on their Instagram account:

Influencer Responsibilities

The Influencer agrees to:

a. Create original, high-quality content that aligns with the Company's brand image and campaign objectives.

b. Obtain all necessary approvals from the Company before publishing any content.

c. Disclose their paid partnership with the Company in accordance with relevant advertising guidelines and platform policies.

d. Not engage in any activities or publish any content that is defamatory, misleading, illegal, or harmful to the Company's reputation.

e. Ensure all content remains live on their Instagram profile for a minimum period of {{content_retention_period}} from the date of publication.

Company Responsibilities

The Company agrees to:

a. Provide the Influencer with all necessary product samples, briefs, and brand guidelines in a timely manner.

b. Provide clear and constructive feedback on content drafts.

c. Make payment to the Influencer as per the agreed-upon payment terms.

d. Grant the Influencer a temporary, non-exclusive license to use the Company's trademarks and logos solely for the purpose of this campaign.

Payment Terms

**Payment Schedule:** Payment will be made as follows:

Intellectual Property

However, the Influencer grants the Company a perpetual, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display the content for marketing and promotional purposes across all media channels.

Confidentiality

Both parties agree to keep all non-public information shared during the course of this Agreement confidential, including but not limited to campaign strategies, product information, and payment terms.

Termination

Either party may terminate this Agreement with {{notice_period}} days' written notice if the other party breaches any material term of this Agreement and fails to remedy such breach within {{cure_period}} days of receiving written notice.

In the event of termination, the Influencer shall be compensated for all services rendered up to the termination date.

Governing Law and Dispute Resolution
