Music License Agreement
This Music License Agreement (the “Agreement”) is entered into on this {{day}} day of {{month}}, {{year}}, by and between:
Licensor: {{licensor_company_name}}, a company duly incorporated under the laws of [South Africa], with its principal place of business at {{licensor_address}} (hereinafter referred to as “Licensor”).
AND
Licensee: {{licensee_company_name}}, a company duly incorporated under the laws of [South Africa], with its principal place of business at {{licensee_address}} (hereinafter referred to as “Licensee”).
Collectively, the Licensor and Licensee shall be referred to as the “Parties” and individually as a “Party”.
1. Grant of License
1.1. The Licensor hereby grants to the Licensee a non-exclusive, non-transferable, revocable license to use the musical work(s) as described in Schedule A (hereinafter referred to as the “Musical Work(s)”), in accordance with the terms and conditions set forth in this Agreement.
1.2. The Licensee shall be permitted to use the Musical Work(s) for the following purposes: {{permitted_uses_description}}.
1.3. The License shall be effective from {{start_date}} and shall continue until {{end_date}}, unless terminated earlier in accordance with the provisions of this Agreement.
2. Royalties and Payment
2.1. In consideration for the license granted herein, the Licensee shall pay the Licensor a royalty fee of {{royalty_percentage}}% of the net revenue generated from the use of the Musical Work(s), or a flat fee of {{flat_fee_amount}} {{currency}} (e.g., ZAR South African Rand).
2.2. All payments shall be made by the Licensee to the Licensor on a {{payment_frequency}} basis (e.g., monthly, quarterly), within {{payment_due_days}} days of the end of each period.
2.3. The Licensee shall provide the Licensor with detailed reports of revenue generated from the use of the Musical Work(s) within {{reporting_days}} days of the end of each payment period.
3. Rights and Obligations of the Parties
3.1. Licensor’s Rights and Obligations:
a. The Licensor represents and warrants that it is the sole owner of the Musical Work(s) or has the full right and authority to grant the license contemplated herein.
b. The Licensor shall not interfere with the Licensee’s permitted use of the Musical Work(s) so long as the Licensee adheres to this Agreement.
3.2. Licensee’s Rights and Obligations:
a. The Licensee shall use the Musical Work(s) solely for the purposes explicitly stated in this Agreement.
b. The Licensee shall not sub-license, assign, or transfer any rights granted under this Agreement without the prior written consent of the Licensor.
c. The Licensee acknowledges that the Licensor retains all ownership rights, title, and interest in the Musical Work(s).
4. Termination
4.1. This Agreement may be terminated by either Party upon written notice to the other Party if the other Party materially breaches any term or condition of this Agreement and fails to cure such breach within {{cure_period_days}} days of receiving written notice thereof.
4.2. Upon termination of this Agreement, the Licensee shall immediately cease all use of the Musical Work(s) and destroy all copies thereof in its possession or control.
5. Governing Law and Dispute Resolution
5.1. This Agreement shall be governed by and construed in accordance with the laws of [South Africa].
5.2. Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).
6. Confidentiality
6.1. Both Parties agree to keep confidential all non-public information disclosed by the other Party in connection with this Agreement.
7. Entire Agreement
7.1. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
