AGREEMENT FOR MUSICAL SERVICES

This Agreement is made as of {{agreement_date}}, by and between:

AND

1. Services to be Rendered

The Musician agrees to provide the following musical services (hereinafter referred to as the "Services") to the Client:

2. Compensation

In consideration for the Services rendered by the Musician, the Client agrees to pay the Musician the following compensation:

Payment Schedule:

- The remaining balance of {{currency}}{{balance_amount}} due on or before {{balance_due_date}}.

3. Expenses

The Client agrees to reimburse the Musician for all reasonable pre-approved expenses incurred in connection with the performance of the Services. Such expenses may include, but are not limited to, travel, accommodation, and equipment rental.

The Musician must provide itemized receipts for all expenses claimed.

4. Intellectual Property and Rights

Ownership of new compositions or recordings created during the term of this Agreement shall be as follows: {{intellectual_property_ownership}} (e.g., Musician retains all rights, Client obtains specific usage rights, joint ownership).

The Musician grants the Client a non-exclusive, non-transferable license to use performances captured during the Services for the following purposes: {{usage_rights}} (e.g., promotional materials, album release, website display).

The Musician warrants that they have the right to perform the Services and that their performance and any materials provided do not infringe upon the intellectual property rights of any third party.

5. Cancellation and Termination

**Client Cancellation:** If the Client cancels the Services:

- Within {{days_notice_full_refund}} days of the service date, the Client shall forfeit the deposit.

- Within {{days_notice_partial_refund}} days of the service date, the Client shall pay {{percentage_of_fee}}% of the total fee.

- Less than {{days_notice_no_refund}} days of the service date, the Client shall pay the full total fee.

**Musician Cancellation:** If the Musician cancels the Services, they shall promptly refund any payments received from the Client and make reasonable efforts to assist the Client in finding a suitable replacement.

**Termination for Cause:** Either party may terminate this Agreement immediately if the other party breaches any material term of this Agreement and fails to cure such breach within {{cure_period_days}} days of receiving written notice.

6. Indemnification

The Musician agrees to indemnify and hold harmless the Client from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or in connection with the Musician’s performance of the Services, including any claims of infringement of intellectual property rights.

The Client agrees to indemnify and hold harmless the Musician from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or in connection with the Client's breach of this Agreement.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
