PHOTOGRAPHY SERVICES AGREEMENT

This Photography Services Agreement (the 'Agreement') is made and entered into as of {{date_of_agreement}} (the 'Effective Date'), by and between:

Photographer: {{photographer_name}}, residing at {{photographer_address}} (hereinafter referred to as the 'Photographer').

Client: {{client_name}}, with a principal place of business at {{client_address}} (hereinafter referred to as the 'Client').

WHEREAS, the Client desires to engage the services of the Photographer to provide certain photography services; and

WHEREAS, the Photographer is willing to provide such services to the Client on the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. SCOPE OF SERVICES

The Photographer shall provide the following photography services (the 'Services') to the Client:

Any additional services requested by the Client outside the scope defined above will be subject to a separate agreement and additional fees.

2. COMPENSATION AND PAYMENT

2.1. Fees: The Client agrees to pay the Photographer a total fee of {{total_fee}} {{currency}} for the Services.

2.2. Deposit: A non-refundable deposit of {{deposit_amount}} {{currency}} is due upon the signing of this Agreement to secure the Photographer's services.

2.3. Payment Schedule: The remaining balance of the fee, amounting to {{remaining_balance}} {{currency}}, shall be due on or before {{due_date_remaining_balance}}.

2.4. Late Payments: A late payment fee of {{late_payment_percentage}}% per month will be applied to any outstanding balance not paid by the due date.

2.5. Expenses: The Client shall reimburse the Photographer for any reasonable out-of-pocket expenses incurred in connection with the Services, including but not limited to travel, accommodation, and material costs, upon presentation of valid receipts. Such expenses must be pre-approved by the Client if exceeding {{expense_limit}} {{currency}}.

3. RIGHTS AND LICENSES

3.1. Ownership of Copyright: The Photographer retains the copyright to all photographs and images created during the course of performing the Services.

3.2. Usage License: The Photographer grants the Client a non-exclusive, non-transferable license to use the final edited photographs for {{permitted_use}}.

3.3. Restrictions: The Client agrees not to sell, sublicense, or distribute the photographs to third parties without the prior written consent of the Photographer.

3.4. Photographer's Use: The Photographer reserves the right to use the photographs for portfolio, advertising, and marketing purposes, both online and in print, unless otherwise specified in writing by the Client.

4. DELIVERY OF WORK

The Photographer agrees to deliver the final edited photographs to the Client by {{delivery_date}} via {{delivery_method}} (e.g., online gallery, USB drive).

5. CANCELLATION AND RESCHEDULING

5.1. Cancellation by Client: If the Client cancels the Services, the non-refundable deposit will be retained by the Photographer. If cancellation occurs less than {{notice_period_days}} days before {{event_date}}, the Client may be liable for {{cancellation_fee_percentage}}% of the total fee.

5.2. Cancellation by Photographer: If the Photographer is unable to perform the Services due to unforeseen circumstances (e.g., illness, emergency), the Photographer will make every effort to find a suitable replacement or refund all monies paid by the Client.

5.3. Rescheduling: Rescheduling of the Services is subject to the Photographer's availability and may incur additional fees if less than {{rescheduling_notice_days}} days' notice is provided.

6. CLIENT COOPERATION

The Client agrees to cooperate fully with the Photographer and provide all necessary information, access to locations, and personnel required for the Photographer to perform the Services effectively.

Any delays caused by the Client's failure to cooperate may result in additional charges or rescheduling.

7. LIMITATION OF LIABILITY

The Photographer's liability for any claim, damage, or loss arising out of this Agreement shall not exceed the total amount paid by the Client to the Photographer.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral, relating to the subject matter hereof.

10. AMENDMENTS

Any amendments to this Agreement must be in writing and signed by both parties.
