PROJECT MANAGEMENT AGREEMENT

This Project Management Agreement ("Agreement") is made and entered into as of {{effective_date}} ("Effective Date"), by and between:

1. {{company_name}}, a company duly incorporated and existing under the laws of {{country_of_incorporation}}, with its registered office located at {{company_address}} (hereinafter referred to as "the Company").

AND

2. {{project_manager_name}}, an individual/entity with identification number {{project_manager_id_number}}, residing at/registered office at {{project_manager_address}} (hereinafter referred to as "the Project Manager").

The Company and the Project Manager are hereinafter collectively referred to as the "Parties" and individually as a "Party".

1. ENGAGEMENT AND SERVICES

1.1. The Company hereby engages the Project Manager, and the Project Manager hereby accepts such engagement, to provide project management services (

1.2. The Project Manager shall perform the Services as detailed in Schedule A attached hereto and incorporated by reference.

1.3. The Project Manager shall report to {{reporting_manager_name}} or such other person as the Company may designate from time to time.

2. TERM AND TERMINATION

2.1. This Agreement shall commence on the Effective Date and shall continue until the completion of the Project, anticipated to be on or about {{project_end_date}}, unless terminated earlier in accordance with the provisions of this Agreement.

2.2. Either Party may terminate this Agreement by giving {{notice_period}} days' written notice to the other Party in the event of a material breach of this Agreement by the other Party, which breach is not remedied within {{cure_period}} days of receipt of such notice.

2.3. The Company may terminate this Agreement immediately upon written notice if the Project Manager engages in any serious misconduct, gross negligence, or becomes bankrupt or insolvent.

3. COMPENSATION

3.1. In consideration for the Services rendered by the Project Manager, the Company shall pay the Project Manager a fee of {{currency}} {{project_fee_amount}} ({{project_fee_amount_words}}) as outlined in Schedule B, or as otherwise agreed in writing by the Parties.

3.2. Payment shall be made on a {{payment_frequency}} basis, within {{payment_terms_days}} days of receiving a duly authorized invoice from the Project Manager.

3.3. The Project Manager shall be responsible for all applicable taxes on the compensation received hereunder.

4. CONFIDENTIALITY

4.1. The Project Manager acknowledges that in the course of performing the Services, they may have access to confidential and proprietary information belonging to the Company.

4.2. The Project Manager agrees to keep all such information strictly confidential and not to disclose it to any third party or use it for any purpose other than the performance of the Services, both during and after the term of this Agreement.

5. INDEPENDENT CONTRACTOR STATUS

5.1. The Project Manager is an independent contractor and not an employee, partner, or joint venturer of the Company. Nothing in this Agreement shall be construed as creating an employer-employee relationship.

5.2. The Project Manager shall be solely responsible for all income tax, social security contributions, and other employment-related liabilities.

6. INTELLECTUAL PROPERTY

6.1. All intellectual property rights, including but not limited to copyrights, patents, and trademarks, arising from the Services or the Project, shall be the sole property of the Company.

6.2. The Project Manager agrees to assign all such rights to the Company and to execute any documents necessary to perfect such assignment.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

7.2. Any dispute, controversy or claim arising out of or relating to this Agreement, including the breach, termination or validity thereof, shall be settled by negotiation between the Parties.

7.3. If the dispute cannot be resolved through negotiation, it shall be submitted to mediation in accordance with the rules of {{mediation_body}}.

7.4. If mediation is unsuccessful, the dispute shall be finally settled by arbitration in accordance with the rules of {{arbitration_body}}.

8. ENTIRE AGREEMENT

This Agreement, including any attached schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.

9. SIGNATURES
