PROJECT MANAGEMENT AGREEMENT
This Project Management Agreement ("Agreement") is entered into on this {{date_of_agreement}}
BETWEEN:
{{client_company_name}}, a company duly incorporated under the laws of {{client_company_jurisdiction}}, with its principal place of business at {{client_company_address}} (hereinafter referred to as "the Client").
AND
{{project_manager_name}}, an individual residing at {{project_manager_address}} / a company duly incorporated under the laws of {{project_manager_jurisdiction}}, with its principal place of business at {{project_manager_address}} (hereinafter referred to as "the Project Manager").
WHEREAS, the Client desires to engage the Project Manager to provide project management services for the project described herein, and the Project Manager is willing to provide such services on the terms and conditions set forth in this Agreement.
1. PROJECT SCOPE
1.1. Project Title: {{project_title}}
1.2. Project Description: The Project Manager shall be responsible for the overall planning, execution, monitoring, control, and closure of the project described as follows: {{detailed_project_description}}.

2. RESPONSIBILITIES OF THE PROJECT MANAGER
2.1. The Project Manager shall: A. Develop a comprehensive project plan, including scope, budget, resources, and timeline. B. Coordinate and manage project resources, including personnel, equipment, and materials. C. Monitor project progress, identify potential risks, and implement mitigation strategies. D. Communicate regularly with the Client regarding project status, challenges, and proposed solutions. E. Ensure that project deliverables meet the agreed-upon quality standards. F. Prepare and present project reports as required by the Client. G. Manage project budget effectively and ensure adherence to financial constraints, and H. Facilitate collaboration among project team members.
3. RESPONSIBILITIES OF THE CLIENT
3.1. The Client shall: A. Provide the Project Manager with all necessary information, access, and resources required for the project. B. Make timely decisions and provide necessary approvals to avoid project delays. C. Provide clear and constructive feedback on project deliverables. D. Facilitate communication and cooperation between the Project Manager and internal stakeholders. E. Remunerate the Project Manager as per the terms outlined in Section 4.
4. COMPENSATION
4.1. The Client shall pay the Project Manager a total fee of {{total_project_fee}} ({{currency}}) for the services rendered under this Agreement. Payment terms shall be as follows: {{payment_schedule_and_terms}}.
4.2. In addition to the project fee, the Client shall reimburse the Project Manager for all pre-approved, reasonable, and necessary expenses incurred in the performance of the services, upon presentation of valid receipts. 5. TERM AND TERMINATION
5.1. This Agreement shall commence on {{start_date}} and shall continue until {{end_date}}, unless terminated earlier in accordance with the provisions of this Section.
5.2. Either party may terminate this Agreement by providing {{notice_period}} days' written notice to the other party.
5.3. Either party may terminate this Agreement immediately upon written notice if the other party commits a material breach of any of its obligations under this Agreement and fails to remedy such breach within {{cure_period}} days after receiving written notice thereof.
6. CONFIDENTIALITY
6.1. The Project Manager agrees to keep all information relating to the Client's business, which may be acquired during the performance of the services, strictly confidential both during and after the term of this Agreement. 6.2. The Project Manager shall not disclose any confidential information to any third party without the prior written consent of the Client.
7. INTELLECTUAL PROPERTY
7.1. All intellectual property rights, including copyrights, patents, and trademarks, arising from the project deliverables created by the Project Manager under this Agreement shall belong to the Client upon full payment of services.
7.2. The Project Manager agrees to assign all such intellectual property rights to the Client as and when requested.
8. GOVERNING LAW AND DISPUTE RESOLUTION
8.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.
8.2. Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or invalidity thereof, shall be settled by negotiation between the parties. If the dispute cannot be resolved through negotiation, the parties agree to escalate the matter to mediation (if applicable in the specific jurisdiction), failing which, it shall be submitted to arbitration in accordance with the rules of {{arbitration_body}}.
9. ENTIRE AGREEMENT
9.1. Unless otherwise stated herein, this Agreement constitutes the entire agreement between the Client and the Project Manager with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral.
