Introduction

This document outlines the restrictive covenants agreed upon by and between {{company_name}} (the "Company") and {{employee_name}} (the "Employee"), effective as of {{effective_date}}. These covenants are integral to the Employee's employment agreement and are designed to protect the legitimate business interests of the Company.

Confidentiality and Non-Disclosure

The Employee acknowledges that during the course of employment, they will have access to confidential and proprietary information belonging to the Company, including but not limited to trade secrets, customer lists, financial data, marketing strategies, product designs, and technical specifications (collectively, "Confidential Information"). The Employee agrees not to disclose, use, or permit the disclosure or use of any Confidential Information for any purpose other than for the benefit of the Company, both during and after the term of employment. This obligation shall continue indefinitely beyond the termination of employment.

Intellectual Property

The Employee agrees that all inventions, discoveries, designs, processes, works of authorship, and any other intellectual property (collectively, "Intellectual Property") conceived or reduced to practice by the Employee, either alone or with others, during the course of employment and relating to the Company's business shall be the sole property of the Company. The Employee further agrees to promptly disclose all such Intellectual Property to the Company and to execute any documents necessary to assign all rights, title, and interest in such Intellectual Property to the Company.

Non-Competition

For a period of {{non_compete_period}} commencing on the date of termination of employment, the Employee agrees not to directly or indirectly engage in, be employed by, consult for, own, manage, operate, control, or participate in the ownership, management, operation, or control of any business that competes with the Company’s business within the geographic area of {{non_compete_geographic_area}}. This covenant is limited to businesses that engage in {{company_business_description}}.

Non-Solicitation of Clients/Customers

For a period of {{non_solicit_client_period}} commencing on the date of termination of employment, the Employee agrees not to directly or indirectly solicit, divert, or attempt to solicit or divert any clients or customers of the Company with whom the Employee had contact or about whom the Employee acquired Confidential Information during the last {{non_solicit_client_lookback_period}} of employment, for the purpose of providing products or services similar to those offered by the Company.

Non-Solicitation of Employees

For a period of {{non_solicit_employee_period}} commencing on the date of termination of employment, the Employee agrees not to directly or indirectly solicit, induce, or attempt to induce any employee of the Company to leave their employment with the Company or to accept employment with any competitor, supplier, or customer of the Company.

Return of Company Property

Upon termination of employment for any reason, the Employee agrees to immediately return to the Company all Company property, including but not limited to computers, mobile devices, keys, access cards, documents, and any other materials containing Confidential Information or Intellectual Property.

Remedies

The Employee acknowledges that a breach of any of these restrictive covenants would cause irreparable harm to the Company, for which monetary damages alone would not be an adequate remedy. Therefore, the Company shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity, to prevent or remedy any such breach.

Governing Law

These restrictive covenants shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}, without regard to its conflict of laws principles.

Severability

If any provision of these restrictive covenants is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
