Retainer Agreement
This Retainer Agreement ("Agreement") is made and entered into on this {{date}} day of {{month}}, {{year}}, by and between:
**{{client_name}}** (hereinafter referred to as "Client"), residing at {{client_address}} / with its principal place of business at {{client_address}}, and
**{{attorney_firm_name}}** (hereinafter referred to Gagana "Attorney"), having its principal place of business at {{attorney_firm_address}}.
Scope of Services
The Client hereby retains the Attorney to provide legal services concerning {{matter_description}}. The scope of services shall include, but not be limited to, {{detailed_scope_of_work_1}}, {{detailed_scope_of_work_2}}, and {{detailed_scope_of_work_3}}. The Attorney shall not be responsible for matters outside this defined scope unless a new agreement or amendment is executed in writing.
Fees and Payment
The Client agrees to pay the Attorney a non-refundable retainer fee of {{retainer_amount}} ({{currency}}). This retainer will be held in a client trust account and will be applied against hourly fees and costs incurred.
The Attorney's hourly rates are as follows:

- Paralegal/Legal Assistant: {{paralegal_hourly_rate}} per hour
Invoices will be rendered monthly and are due upon receipt. Any outstanding balance after {{grace_period}} days will be subject to a late payment charge of {{late_payment_interest_rate}}% per month.
Costs and Expenses
In addition to the professional fees, the Client shall be responsible for all reasonable and necessary costs and expenses incurred by the Attorney in the performance of services, including but not limited to, court filing fees, expert witness fees, travel expenses, postage, photocopying, and courier charges. The Attorney will seek prior approval from the Client for any individual expense exceeding {{expense_approval_threshold}}.
Client's Responsibilities
The Client agrees to cooperate fully with the Attorney, provide all necessary information and documents truthfully and in a timely manner, and keep the Attorney informed of any changes in circumstances relevant to the matter. The Client also agrees to promptly review and approve or reject any legal documents or strategies presented by the Attorney.
Attorney's Responsibilities
The Attorney agrees to represent the Client diligently, competently, and ethically, maintaining the highest standards of professional conduct. The Attorney will communicate regularly with the Client regarding the progress of the matter and will keep all client information confidential, subject to legal and ethical obligations.
Termination of Agreement
This Agreement may be terminated by either party upon {{notice_period}} days' written notice. Upon termination, the Client shall pay for all services rendered and expenses incurred up to the date of termination. If the retainer funds exceed the fees and expenses, the remaining balance will be refunded to the Client. The Attorney reserves the right to withdraw from representation if the client fails to honor the terms of this agreement or for other good cause as defined by applicable ethical rules.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city}}, {{country}}.
Entire Agreement
This Agreement constitutes the entire agreement between the Client and the Attorney concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.
