RETAINER AGREEMENT
This Retainer Agreement (hereinafter referred to as the “Agreement”) is made and entered into on this {{date_of_agreement}} day of {{month}}, {{year}}, by and between:
{{client_name}} (hereinafter referred to as the “Client”), with a primary address at {{client_address}}, and
{{law_firm_name}} (hereinafter referred to as the “Attorney”), with a primary address at {{attorney_address}}.
WHEREAS, the Client desires to retain the Attorney to provide legal services, and the Attorney is willing to provide such services on the terms and conditions hereinafter set forth.
1. ENGAGEMENT OF ATTORNEY
The Client hereby engages the Attorney to provide legal services in connection with the matter described as: {{matter_description}} (hereinafter referred to as the “Matter”).
The scope of services shall include, but not be limited to: {{scope_of_services_details}}.
2. FEES AND BILLING
2.1. Retainer Fee: The Client agrees to pay the Attorney a non-refundable retainer fee of {{currency}} {{retainer_amount}} upon the signing of this Agreement. This retainer fee shall be credited against the Attorney’s fees and expenses as they are incurred.
2.2. Hourly Rates: The Attorney’s fees for services rendered shall be based on the following hourly rates:
- Senior Attorney: {{currency}} {{senior_attorney_hourly_rate}} per hour
- Junior Attorney: {{currency}} {{junior_attorney_hourly_rate}} per hour
- Paralegal/Legal Assistant: {{currency}} {{paralegal_hourly_rate}} per hour
2.3. Billing Cycle: The Client will be billed on a {{billing_cycle}} basis (e.g., monthly, bi-weekly). Invoices will detail the services performed, time spent, and expenses incurred.
2.4. Payment Terms: Invoices are due and payable within {{payment_due_days}} days of the invoice date. Interest at a rate of {{interest_rate_percent}}% per annum may be charged on overdue accounts.
3. EXPENSES
The Client shall be responsible for all reasonable out-of-pocket expenses incurred by the Attorney in connection with the Matter, including but not limited to, court filing fees, process server fees, travel expenses, expert witness fees, and photocopies. All expenses over {{currency}} {{expense_authorization_limit}} will require prior written approval from the Client.
4. CLIENT’S RESPONSIBILITIES
The Client agrees to:
4.1. Provide all necessary information and documentation promptly and accurately.
4.2. Cooperate fully with the Attorney in the prosecution or defense of the Matter.
4.3. Keep the Attorney informed of any changes in contact information or relevant circumstances.
4.4. Make timely payment of all fees and expenses as per this Agreement.
5. ATTORNEY’S RESPONSIBILITIES
The Attorney agrees to:
5.1. Diligently and competently represent the Client in the Matter.
5.2. Keep the Client reasonably informed about the status of the Matter.
5.3. Maintain the confidentiality of all information provided by the Client, subject to legal requirements.
5.4. Exercise independent professional judgment on the Client’s behalf.
6. TERMINATION OF AGREEMENT
This Agreement may be terminated by either party upon {{notice_period_days}} days' written notice to the other party. Upon termination, the Client shall pay the Attorney for all services rendered and expenses incurred up to the date of termination. If the Attorney withdraws from representation, any unearned portion of the retainer will be refunded to the Client.
7. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of {{country_name}}.
8. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the Client and the Attorney concerning the Matter, and supersedes all prior agreements, understandings, or representations, whether oral or written.
