Sales Addendum

This Sales Addendum ('Addendum') is entered into on this {{date}} by and between:

**{{seller_company_name}}**, with its principal place of business at {{seller_company_address}} (hereinafter referred to as 'Seller'); and

**{{buyer_company_name}}**, with its principal place of business at {{buyer_company_address}} (hereinafter referred to as 'Buyer').

WHEREAS, Seller and Buyer previously entered into a Sales Agreement dated {{original_agreement_date}} (hereinafter referred to as the 'Original Agreement') for the sale and purchase of {{description_of_original_goods_or_services}}; and

WHEREAS, the parties now desire to amend and supplement the Original Agreement as set forth herein.

Amendments to Original Agreement

The Original Agreement is hereby amended as follows:

1. **Product/Service Description:** The {{section_of_original_agreement}} clause of the Original Agreement is amended to include/exclude/modify the following: {{detailed_product_service_amendment}}.

2. **Pricing:** The {{pricing_clause_of_original_agreement}} clause of the Original Agreement is amended to state that the revised price for {{item_or_service}} shall be {{new_price}} ({{currency}}) instead of {{original_price}} ({{currency}}).

Effect of Addendum

Except as expressly modified by this Addendum, all other terms and conditions of the Original Agreement shall remain in full force and effect.

Governing Law

This Addendum and any disputes arising out of or in connection with it shall be governed by and construed in accordance with the laws of {{jurisdiction}}.

Entire Agreement

This Addendum, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.

Counterparts

This Addendum may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
