SALES ADDENDUM

This Sales Addendum (hereinafter referred to as the 'Addendum') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

AND

RECITAL

WHEREAS, Seller and Buyer previously entered into a Sales Agreement dated {{original_agreement_date}} (hereinafter referred to as the 'Original Agreement') for the sale and purchase of {{goods_or_services_description}};

WHEREAS, the parties desire to modify and/or add certain terms and conditions to the Original Agreement as set forth herein.

AMENDMENTS TO THE ORIGINAL AGREEMENT

The parties hereby agree to amend the Original Agreement as follows:

GOVERNING LAW

ENTIRE AGREEMENT

This Addendum, together with the Original Agreement, constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
