SEO Services Agreement

This SEO Services Agreement (the 'Agreement') is made and entered into as of {{date}}, by and between:

Client: {{client_company_name}}, with its principal place of business at {{client_company_address}} (hereinafter 'Client').

Service Provider: {{service_provider_company_name}}, with its principal place of business at {{service_provider_company_address}} (hereinafter 'Service Provider').

1. Services

The Service Provider agrees to provide Search Engine Optimization (SEO) services to the Client, which may include, but are not limited to, the following:

- Keyword research and analysis

- On-page optimization (meta descriptions, title tags, content optimization)

- Off-page optimization (link building, outreach)

- Technical SEO (site audits, speed optimization)

- Content strategy recommendations

- Monthly performance reporting

Specific services and deliverables will be further detailed in an attached Statement of Work (SOW) or project proposal, which shall be incorporated into this Agreement by reference.

2. Term and Termination

This Agreement shall commence on {{start_date}} and shall continue for an initial term of {{initial_term_duration}} (e.g., three months, six months, one year), thereafter automatically renewing for successive periods of {{renewal_period_duration}} unless either party provides written notice of non-renewal at least {{notice_period_days}} days prior to the end of the then-current term.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within {{cure_period_days}} days of receiving written notice thereof.

3. Payment Terms

The Client agrees to pay the Service Provider a monthly fee of {{monthly_fee_currency}} {{monthly_fee_amount}}, payable in advance on the {{payment_due_day_of_month}} day of each month.

Additional services outside the scope of this Agreement or the agreed-upon SOW will be billed at an hourly rate of {{hourly_rate_currency}} {{hourly_rate_amount}} or as otherwise agreed upon in writing.

Invoices will be submitted on or before the {{invoice_submission_day_of_month}} day of each month and are due upon receipt. Late payments may incur interest at a rate of {{late_payment_interest_rate}}% per annum or the maximum rate permitted by law.

4. Client Responsibilities

The Client agrees to provide the Service Provider with timely access to all necessary website content, statistical data, FTP access, and login credentials, including but not limited to website backend access, Google Analytics, Google Search Console, and any other relevant accounts.

The Client will promptly respond to requests for information, approvals, and feedback from the Service Provider. Delays caused by the Client may impact the Service Provider's ability to deliver services effectively.

5. Confidentiality

Both parties agree to keep all proprietary and confidential information of the other party confidential, including but not limited to business plans, marketing strategies, financial information, client data, and technical procedures.

This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period_years}} years.

6. Limitation of Liability

The Service Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with this Agreement.

The Service Provider's total liability under this Agreement shall not exceed the total fees paid by the Client to the Service Provider during the {{liability_period_months}} months preceding the event giving rise to the liability.

7. Governing Law
